Profile

In 1984, saratoga bridges opened the first accessible community-based home in the county for people with developmental disabilities. Subsequently, our residential program has grown tremendously. Our goal is to teach residents to become independent in living environments by offering support and services to live, work and socialize within the community. Saratoga bridges offers several different day services for hundreds of adults of all ages with developmental disabilities. Each of the options emphasizes the same philosophy in that our role is to support individuals to reach their greatest possible potential. In 1984, saratoga bridges opened the first accessible community-based home in the county for people with developmental disabilities. Subsequently, our residential program has grown tremendously. Our goal is to teach residents to become independent in living environments by offering support and services to live, work and socialize within the community. Nysarc was founded in 1949 to meet a critical mission - to improve the quality of life for people with intellectual and other developmental disabilities.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Description of structure and membership: nysarc inc is a unitary corporation consisting of its 39 chapters. Nysarc inc saratoga county chapter is one division of the corporation. The corporation and chapters' governing body is the board of governors representing the individual membership in each chapter's jurisdiction. Each chapter has one primary and one alternate governor with a weighted vote based on membership. The corporation through its bylaws delegates day-to-day operating authority to the chapter's board of directors. The executive committee of the board of governors (see part vi, line 7a below) comprises the corporation's elected officers and exercises all powers of the board of governors between plenary meetings of the governors.

Form 990, Part VI, Section A, Line 7A

Members powers to elect or appoint to the governing body: the organization's members elect the officers and directors of the chapter annually. In turn, those chapter board members nominate the officers and directors of the corporation.

Form 990, Part VI, Section B, Line 11B

Form 990 review process: the nysarc board of governors does not review the chapters' forms 990 before they are filed. Each chapter submits a copy of its form 990 to the governing body's board of governors when the form 990 is filed by the chapter. Each chapter must have a process for its board of directors to review the chapter's form 990. The saratoga chapter's form 990 is presented to the board of directors for review prior to filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy procedure: conflict of interest form completed by employee, submitted to corporate nysarc, inc., saratoga county chapter 14-1465932 compliance committee and either approved or not.

Form 990, Part VI, Section B, Line 15

Officers' compensation procedure: the executive director's salary is determined from the nysarc compensation survey, it is approved by the executive committee/board of directors and a contract is entered into between the parties. Although not key employees, other top management salaries are determined from nysarc compensation survey and the entire compensation plan is approved by the board of directors.

Form 990, Part VI, Section C, Line 19

Availability to public of governing documents, conflict of interest policy, and financial statements: these are available on request.
