“As of march 31, 2020 tm forum had 834 members. Of this 450 were corporate members, 275 were affiliate members and 109 were subsidiary members.”

“Appointment of directors shall be made annually, a slate of which shall be prepared by the appointments and governance committee and presented to the board for approval and then ratified by vote of corporate members at the annual meeting of members; tmforum by-law 5.2”

“Corporate members in good standing have voting rights in certain situations for decisions of the governing body. These are listed as per the organization's bylaws in section 11.3 member reserved decisions - a. Approval of any change to the objectives of the corporation; b. Approval of any dissolution of the corporation and disposal of all or substantially all of its assets; c. Appointment of auditors for the corporation d. Approval of slate of directors e. Approval of tm forum approved documents of the corporation in accordance with article 11.4; and f. Any matter which by virtue of the act or other applicable law must be voted on by the voting members of a corporation”

“A draft copy is provided to the finance committee which is reviewed for numerical accuracy by the controller and cfo. After review the copy is signed by the cfo and submitted.”

“Tm forum has included guidance for the matter of conflict of interest in both the organization's by-laws and operating guide. Tm forum's by-laws state: any director must disclose to the board full details of any interest he/she may have in a matter to be discussed at the board before such matter is discussed or a vote is taken. Furthermore on an annual basis, all board members and tm forum staff members must complete a conflict of interest form.”

“Tm forum's by-laws state the following: the appointments & governance committee shall be appointed by the board and shall: a) lead the process for appointments to the board and board standing committees and to recommend all new appointments to the board, board committees, ceo, officer and key senior leadership roles, b) annually to evaluate the performance of the chairman, the chief executive and other directors of the board, c) on behalf of the board, approve appointments to the senior leadership team as proposed by the ceo and approve the remuneration or honoraria and contractual terms for such appointments.”

“The organization's by-laws (which include section 12.3 titled directors interests) and operating guide (section 8 titled code of conduct) are available on the organization's website (www.tmforum.org) and accessible to all members. The organization published a summary of audited financials during the annual meeting of members (amom) and that summary is available to members on the website. The full audited financial statements are not directly published on the website, however, they are available upon request. Governing documents, conflicts of interest policy, and financial statements are furnished to non-members of the organization upon request. Most requests of this nature are made by prospective members doing their due diligence of the organization.”
