Tm forum's mission is to help communications service providers (csps) and their suppliers digitally transform and thrive by providing an open, collaborative environment to develop and adopt practical assets like the open digital architecture (oda) and industry standards. Through collaboration, they aim to accelerate digital transformation, modernize it and operations, enable autonomous networks, and ensure a sustainable future for the connectivity industry.

The forum drives collaboration and collective problem-solving to maximize the business success of communication and digital service providers and the ecosystem of suppliers.

As of march 31, 2025 tm forum had 761 members. Of this 447 were corporate members, 201 were affiliate members and 113 were subsidiary members.

Form 990, Part VI, Section A, Line 7A

Appointment of directors shall be made every 2 years. A slate of which shall be presented to the board for approval and then ratified, in its entirety, by a vote of voting members at the annual meeting of members (amom). The appointments and governance committee shall ensure each slate is selected to reflect appropriate board representation of tm forum's membership from both a commercial, diversity and inclusion, and geographic perspective.

Form 990, Part VI, Section A, Line 7B

Corporate members in good standing have voting rights in certain situations for decisions of the governing body. These are listed as per the tm forum bylaws in section 8.5: the appointments and governance committee shall: (i) review proposed appointments to the board, committees, and officers; (ii) monitor and evaluate the performance of the board chair, tm forum president/ceo and the slt, trustees, and the committees; (iii) review and maintain the whistleblower, conflict of interest, and other forum policies; (iv) investigate any issues concerning duty of care, conflict of interest, bribery, corruption, whistleblower complaints, and any alleged violations of the ipr policy or antitrust guidelines, involving other trustees as required; (v) develop a balanced slate, representative of the membership; (vi) oversee trustee elections; and (vii) undertake any such matters set forth in these bylaws or as required by law. Any additional duties may be set forth in a committee charter or delegated by the board.

Tm forum has included guidance for the matter of conflict of interest in both the organization's bylaws and operating guide. Tm forum's bylaws state, 'trustees, designees, and officers shall disclose any conflict of interest annually as prescribed in the forum's conflict of interest policy; such individuals have a duty to update and disclose any new conflicts prior to every meeting or as they arise. No trustee may participate in board discussions or vote on matters where that trustee has a conflict of interest. The affected trustee must announce the conflict and recuse themselves from that portion of the meeting.' furthermore, on an annual basis, all tm forum board members and staff must complete a conflict of interest form.

Tm forum's appointments and governance committee charter state the following, 1) lead the process for appointments to the board and board committees and to recommend all new appointments to the board, board committees and officer roles. 2) monitor and evaluate the performance and effectiveness of the board, the board chair, and board committees and the contribution of each trustee or designee and their sponsoring company. 3) review regularly the structure, size and composition of the board and board committees (including its own) and the balance of skills, knowledge and experience on the board and board committees; make recommendations to the board or, where appropriate, the relevant committee with regard to any adjustments that are deemed necessary. 4) on behalf of the board, approve appointments to the senior leadership team as proposed by the president/ceo and approve the remuneration or honoraria and contractual terms for such appointments.

Financial Statement Notes

PART X, LINE 2:

Tm forum is exempt from federal and state incomes taxes under section 501(c)(6) of the internal revenue code. Tm forum has unrelated business activity in the form of publications advertising; however, the revenues related to this activity were less than the associated costs. Therefore, no provision for federal or state income taxes has been made. Management has evaluated its tax positions and believes that there are no adjustments of possible additional tax liabilities. The amount that may ultimately have to be recognized, in the event that tm forum tax returns are examined by the appropriate taxing authority, may differ from management's estimates. The federal return for an organization exempt from income tax under section 501(c)(6) of the internal revenue code is subject to examination by the internal revenue service for three years after it is filed.
