Approval of tm forum approved documents of the corporation in accordance with article 11.4; and f. Any matter which by virtue of the act or other applicable law must be voted on by the voting members of a corporation”

“Tm forum has included guidance for the matter of conflict of interest in both the organization's by-laws and operating guide. Tm forum's by-laws state: any director must disclose to the board full details of any interest he/she may have in a matter to be discussed at the board before such matter is discussed or a vote is taken. Furthermore on an annual basis, all board members and tm forum staff members must complete a conflict of interest form.”

“Tm forum's by-laws state the following: the compensation committee shall be appointed by the board and shall: a) set the remuneration or honoraria for any officer as appropriate. B) no officer shall be permitted to vote on their own remuneration nor be present at any part of a meeting where such a vote is taken or their remuneration discussed (and for the purposes of the decision regarding his/her remuneration, shall be deemed not to be a member of the compensation committee). C) the board may, but is not obliged to, delegate to the compensation committee, or a sub-committee thereof, the task of finding candidates for the replacement of an officer when required. The human resource department relies on surveys and salary guides from other organizations such as the society of human resource management (shrm), robert half, glassdoor, etc., which provides salary information by criteria such as geographic location, industry, job duty, etc. These independent data sources are consulted when setting salaries and raises for all staff members. The compensation and finance committee has access to these databases and reports for their use in determining executive compensation.”

“The organization's by-laws (which include section 12.3 titled directors interests) and operating guide (section 8 titled code of conduct) are available on the organization's website (www.tmforum.org) and accessible to all members. The organization published a summary of audited financials during the annual meeting of members (amom) and that summary is available to members on the website. The full audited financial statements are not directly published on the website, however, they are available upon request. Governing documents, conflicts of interest policy, and financial statements are furnished to non-members of the organization upon request. Most requests of this nature are made by prospective members doing their due diligence of the organization.”
