Governance Explanations

Form 990, Page 6, Part VI, Line 6

Membership is open to anyone who donates or volunteers for the organization. Membership benefits include discounts at the organization's huts and camps, programs and workshops, free access to the hidden valley nature center and receipt of a biannual newsletter.

Form 990, Page 6, Part VI, Line 7A

The membership annually votes on the entire slate of directors up for a term renewal or to fill vacancies. The directors are responsible for all decisions of the organization.

Form 990, Page 6, Part VI, Line 11B

The organization's process to review form 990 - the finance committee receives a copy of the 990 and financial statements in advance of a meeting of the committee. The committee reviews the documents in detail and recommends approval by the board of directors. The board of directors then reviews and approves the 990 and the financial statements prior to filing of the 990.

Form 990, Page 6, Part VI, Line 12C

Enforcements of conflist of interest policy - each director, officer, employee and committee member shall be provided with and asked to review a copy of midcoast conservancy's conflict of interest policy and to acknowledge in writing that he or she has done so. Annually (or more frequently should conflicts arise) each director, officer, employee and committee member shall complete a disclosure form identifying any relationships, positions or circumstances in which s/he is involved that he or she believes could contribute to a conflict of interest.

Form 990, Page 6, Part VI, Line 15A

Compensation process for top officials - midcoast conservancy relies on two surveys to determine the compensation for its key employees. One survey produced by the land trust alliance every three years provides summaries of salaries for executive directors and key land trust staff jobs. The data is broken down by region and state when possible. We also review the survey produced by the maine association of nonprofits which comes out annually. The executive director, in consultation with the board, sets the salary for the staff and the executive committee of the board sets the salary for the executive director. Officers of the board are not compensated. The executive director is compensated.

Additional Explanations

Form 990, Page 2, Part III, Line 4C

Community -operate hidden valley nature center with 25 miles of trails on 1,000 acres, hosted a handful of workshops and guided programs until the start of the global pandemic on march 11. Visitors utilizing the trails increased as people looked for places to safely recreate outdoors. Due to cdc recommendations we were not able to capture visitor registrations. We served 4 local schools through february for lessons in environmental education. Each school came for one lesson each month during the school year. - our four trained americorps outdoor adventure program members continued to facilitate fat bike, xc skiing & snowshoeing programing at schools throughout lincoln and waldo counties until the start of the global pandemic. We made programs more accessible to students by transporting gear to school sites and assisting teachers with programming and getting kids outside. Winter programs took place outside of the school day and were available to all students free of charge. After the pandemic and closure of most in person schooling, the americorps members produced 9 video lessons for use by families and schools on activities that could be done from home or at a local preserve. -midcoast conservancy leased approximately 125 sets of cross-country skis to families in lincoln and waldo counties.
