Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws of foodshare were modified in august of 2017 to combine the finance committee and the audit committee into the finance and audit committee.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the auditors based on information provided by management, reviewed by management and distributed to all members of the finance and audit committee for review and discussion at their may meeting with the auditors. The final draft is then made available to all foodshare board members for review. Board members send any questions or comments to the chair of the finance and audit committee. The appropriate person responds to any questions or comments and revisions are made, if necessary, prior to filing.

Form 990, Part VI, Section B, Line 12C

All elected directors and all staff members complete a conflict of interest disclosure certificate annually. Management reviews the individually signed certificates and prepares a summary annually. Foodshare's governance committee reviews the summary and takes any action deemed necessary as a result of the review.

Form 990, Part VI, Section B, Line 15

The executive committee, whose members are independent persons, reviews comparability data annually and uses this information as input to the process for approving compensation for the president, executive vice president and vice president. The committee's process and decisions are documented contemporaneously. Executives are eligible for the same fringe benefits as other foodshare employees.
