Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization does not have separate committees. All decisions are handled by the governing body.

Form 990, Part VI, Section B, Line 11

The annual form 990 shall be furnished to the president of the board and then to the entire board for review.

Form 990, Part VI, Section B, Line 12C

No member of the board shall: 1- serve as a staff member of this agency 2- serve as a member of a governing body or as a staff member of another service agency (daycare); or 3- serve as a member of the board policy making body or staff of the donor agency which has provided funds assigned to this service agency (day care). The board has 2 types of members- community members (4); and parent members (3). We usually run at a membership of 7 to 9. Two (2) of the community members have been with us and have remained on the board for many years. One is a founder of the organization and the other is a former parent. When looking for replacements for the board members each year, usually, we are looking for parent members. The program directors from each site (3) recommend a candidate or 2 from their site. Before presenting the recommendation to the board, we ask about their connections in the community to make sure that there is no conflict. After the names are screened, they are presented to the board for a vote.

Form 990, Part VI, Section B, Line 15

Salaries are determined based on the years of experience and degrees by the state of nj. The annual increase in compensation is based on the percentages allowed by the state of nj.

Form 990, Part VI, Section C, Line 18

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income taxes under section 501(c)(3) of the internal revenue code and, therefore, has made no provision for federal or state income taxes in the accompanying financial statements. The organization has been determined by the internal revenue service not to be a "private foundation" within the meaning of section 509(a)(l) of the code. Other significant tax positions include its determination of whether any amounts are subject to unrelated business income tax (ubit). Management has determined that the organization had no activities subject to ubit in the years ended january 31, 2015 or 2014. All significant tax positions have been considered by management and it has been determined that all tax positions would be sustained upon examination by taxing authorities. The organization is required to file form 990 (return of organization exempt from income tax), which is subject to examination by the internal revenue service (irs) up to three years from the extended due date of the tax return. The forms 990 for 2011 through 2014 are open to examination by the irs as of january 31, 2015.
