“Monitoring and enforcement of conflict policy - the organization monitors and enforces its conflict policy by requiring officers, directors, and key employees to annually disclose in writing any interests that could give rise to conflicts. If a conflict arises, the person with the conflict is not permitted to participate in the discussions of the transaction or to vote on the matter. The decision about the transaction is made by persons who are independent of the individual with the conflict.”
