Mission and Program Overview

Mission

Founded in october 2006, the new venture fund ("nvf") is a 501(c)(3)public charitable organization dedicated to supporting innovative andeffective public interest projects. The organization currently managesprograms, provides fiscal sponsorships to nonprofit organizations, and coordinates grants programs. Nvf supports a range of public interest projects, the majority of which focus on conservation, global development and health, and education. Nvf has also managed programs focused on civic engagement, economic policy, disaster recovery, and music and the arts.

To support innovative and effective public interest projects.

Arabella advisors is a management, strategy and evaluation firm serving family, institutional, and corporate philanthropists across the country and around the world. Arabella serves as the management company for nvf under an administrative agreement between the two. In that capacity, arabella provides business development services for nvf, sources new projects, and maintains donor relationships; processes, manages, and tracks all contracts and agreements; provides financial management for nvf and its fiscally sponsored projects; performs all grant due diligence and grants management for incoming and outgoing grants; supplies the systems and staff to ensure compliance with federal, state and local regulations related to charitable solicitation, lobbying, sales and use tax, and other business registrations; supports the president, board, and other governance functions; manages human resources, including recruiting, hiring, payroll and benefits management; and provides and maintains all of the technology and infrastructure platforms for the organization. In addition to these standard management company services, arabella provides additional services including strategic advice, leadership support, public relations, evaluation and measuring impact, impact investing support, and sharing best practices and expertise, thereby enabling nvf to better further its mission and achieve impact.

PART X, LINE 2:

Nvf is exempt from federal income tax under section 501(a) of the irc as an organization described in section 501(c)(3). The irs recognizes nvf's status as a public charity organization. Nvf's income tax returns are subject to review and examination by federal and state authorities. Nvf is not aware of any activities that would jeopardize its tax-exempt status. Nvf is not aware of any activities that are subject to tax on unrelated business income, excise or other taxes. Avon breast cancer crusade (abcc) is a single member llc for which nvf is the sole member. Abcc is disregarded as an entity separate from nvf for tax purposes in accordance with treasury regulation section 301.7701-3(b)1(ii), such that all of abcc's revenues and expenses are attributed to nvf and abcc is treated as exempt from federal income tax. Abcc's financial results are consolidated within nvf's federal and state tax filings. Generally, the organization is no longer subject to income tax examinations for the u.s. Federal, state or local tax authorities for years before december 31, 2014.
