Mission

See Schedule OBrent Eley Center ("Center") is a supporting organization, exclusively operating for the benefit of Brent Eley Foundation ("Foundation"). The Center owns the capital buildings, referred to as Brent's Place, located in Aurora, Colorado. This property is comprised of land and two buildings; "Founder's House" established in February 2009, and "Tanner's House", established in June 2017. Brent's Place is managed and operated by the Foundation. The Brent Eley Foundation (dba Brent's Place) is committed to providing Safe-Clean, long-term housing for families and children with cancer and other life-threatening illnesses while they receive treatment at local hospitals. In addition to independent living accommodations, Brent's Place offers a variety of uniquely tailored programs and services for the entire family designed to help in the healing process.

Brent Eley Center (the "Center") is a supporting organization, operated exclusively for the benefit of Brent Eley Foundation (the "Foundation"). The Center owns Brent's Place in Aurora which opened in February 2009. Prior to 2009, the Center acquired land, developed, and financed Brent's Place. Brent's Place is operated by the Foundation and offers safe clean housing and education support for pediatric BMT/Oncology patients and their families.

Governance Explanations

Form 990, Part VI, Section A, line 4

During 2016, the Foundation's and Center's bylaws were amended in an effort to evolve the documents to reflect the more advanced organizational structure (with more clearly defined board and staff functions), and to conform them to current Colorado law and best practices. Various changes were made, including the following: -All prior amendments were consolidated and incorporated into the main documents, through the process of "amendment and restatement". -Several unnecessary provisions were eliminated. -A clarification was made that both documents may be amended either by the Center's board of directors with the Foundation's approval, or by the Foundation unilaterally. -The requirement for and formalities associated with an annual member meeting were eliminated, to streamline how decisions can be made by the Foundation as the sole voting member of the Center. -The provisions regarding the number, election and staggered terms of directors, and how and when vacancies are filled, have been simplified and made more flexible. The provisions around the timing of board meetings and notices have been clarified and conformed to the Foundation's bylaws. -The Center's board has been given greater flexibility in how it can take action. Specifically, directed proxies will be allowed, as well as written action in lieu of a meeting by less than unanimous consent and participation. -A clarification has been made that directors must be volunteers, whether they are providing services as a director or as a board officer. -More description has been added to some of the officer descriptions.

At an annual meeting, the members of the board of directors review the conflict of interest policy statement and state any potential conflict of interest according to the policy. They are asked to sign a policy statement annually disclosing any existing conflicts of interest and the mitigating steps being implemented to resolve the conflicts, or confirming that there are no conflicts of interest. Compliance with the policy is monitored by the Board President.

IRS990/Desc0Brent's Place in Aurora, CO supports the housing needs of out of town pediatric, adolescent and young adult patients undergoing bone marrow transplants and other lengthy treatments for cancer and serious blood and immune disorders. Brent's Place is the only Children's Hospital Colorado approved Safe-Clean housing facility for these immunocompromised patients and their families. The facility strives to promote healing and recovery thru family support and an environment designed and maintained to minimize the risk of infection. Brent's Place provides housing and support programs to all of our families at no cost to them. In 2016, we served more than 123 patients and provided over 9,130 room nights, and 800 support programs and activities to (See continuation on Schedule O)patients and families in need. Brent Eley Center owns the Brent's Place facility, a 16-unit apartment building and adjacent land for future expansion. Rent is paid by the Brent Eley Foundation to Brent Eley Center for use of the facility. During 2014, Brent Eley Center began a capital campaign to finance the construction of Brent's Place Too. Brent's Place Too will be a new building, located adjacent to the current facility that will enable Brent's Place to expand its housing and support services. Construction commenced on Brent's Place Too in May 2016 and is expected to be completed in June 2017.

In 2010, the loan was sold by Dutch Mill Village, L.L.C. to the Board Member's daughter and son-in-law. As part of the agreement, all accrued interest through the date of the agreement was forgiven, the interest rate on the note was decreased from 6% to 4.5%, and the maturity date of the note was extended to October 1, 2024.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0During 2016, the Foundation's and Center's bylaws were amended in an effort to evolve the documents to reflect the more advanced organizational structure (with more clearly defined board and staff functions), and to conform them to current Colorado law and best practices. Various changes were made, including the following: -All prior amendments were consolidated and incorporated into the main documents, through the process of "amendment and restatement". -Several unnecessary provisions were eliminated. -A clarification was made that both documents may be amended either by the Center's board of directors with the Foundation's approval, or by the Foundation unilaterally. -The requirement for and formalities associated with an annual member meeting were eliminated, to streamline how decisions can be made by the Foundation as the sole voting member of the Center. -The provisions regarding the number, election and staggered terms of directors, and how and when vacancies are filled, have been simplified and made more flexible. The provisions around the timing of board meetings and notices have been clarified and conformed to the Foundation's bylaws. -The Center's board has been given greater flexibility in how it can take action.
