Mission and Program Overview

Mission

Digital Data Exchange, LLC (DDEX) is organized to explore, develop and maintain a robust framework of data exchange standards for the exchange of information relating to digital media content (which expressly does not include the development of standardized copy of content protection schemes, copyright protection schemes, codes or other supporting technology), with the initial focus being on music and music-related assets. Standards will be developed to improve the efficiency of information sharing and transaction processing (such as usage reporting and similar activities) between business entities operating in the digital media content supply chain. DDEX will promote, through the creating of publicity material, the holding of training seminars and the like, global awareness and compliant implementation of those standards. DDEX shall not as a consequence of these activities involve itself in the administration of the licensing of media content and rights.

Ddex develops & maintains data standards for exchange of information in the digital media markets.

The ddex board of directors approves an annual budget that includes an estimate of rightscom's fees for each year. On a four-month cycle, rightscom submits a work plan to the board which matches the available financial resources against a board prioritized list of activities.

Ddex has the following types of members: charter member, full member, full individual member and associate member.

Form 990, Part VI, Section A, Line 7A

Each charter member shall (a) be entitled to elect or appoint, at its sole discretion, a named individual as representative to the board, such representative to (i) serve at the discretion of the respective charter member; (ii) cast one (1) vote on behalf of the charter member in its capacity as a member of the board; (iii) receive notice of all board meetings and, have access to (1) all documentation relating to the issues being discussed by and (2) all communications relating to, each board meeting; and (iv) be entitled to choose one additional individual with specific subject expertise, also employed by the charter member, to attend meetings of the board where issues relating to the individual's subject expertise are being discussed but without any voting rights associated therewith; (b) pay the applicable membership dues for charter members; (c) be entitled to one (1) vote in each working group; (d) have access to (1) all documentation relating to the issues being discussed at and (2) all communications relating to, each working group; (e) be eligible to provide a representative to act as chair of each working group, if so appointed by the board; (f) be eligible to provide comments on a committee draft standard during an ip notice period; (g) be eligible to send representatives to each plenary meeting; (h) have access to (1) all documentation relating to the issues to be discussed at and (2) all communications relating to each, plenary meeting; (i) be eligible to send representatives to each annual meeting; (j) have access to (1) all documentation relating to the issues to be discussed at and (2) all communications relating to each annual meeting; and (k) be granted free of charge an implementation license and at the same time be allocated a ddex party identifier, if at the time of becoming a charter member such charter member has not already been granted an implementation license or allocated a ddex party identifier.

The draft form 990 is provided to rightscom, ltd., the organization that is retained by ddex to perform administrative and technical development support services, for review and is then presented to the ddex board of directors for authorization before it is filed with the internal revenue service.

The ddex board of directors consists equally of organizations that represent three different sectors of the digital music supply chain, namely, owners/administrators of musical works, owners/administrators of sound recordings and dsps/technology service providers. Critical decisions relating to licensing and fee setting, compliance rules, revision of membership dues, resource allocation, financial management and budget approval and appointment of a registration authority require a "super-majority" vote of the board of directors. A super-majority vote is "an affirmative vote of more than eighty percent (80%) of the total number of persons entitled to vote".

STANDARDS WILL BE DEVELOPED TO IMPROVE THE EFFICIENCY OF INFORMATION SHARING AND TRANSACTION PROCESSING (SUCH AS USAGE REPORTING AND SIMILAR ACTIVITIES) BETWEEN BUSINESS ENTITIES OPERATING IN THE DIGITAL MEDIA VALUE CHAIN. DDEX WILL PROMOTE, THROUGH THE CREATING OF PUBLICITY MATERIAL, THE HOLDING OF TRAINING SEMINARS AND THE LIKE, GLOBAL AWARENESS AND COMPLIANT IMPLEMENTATION OF THOSE STANDARDS. DDEX SHALL NOT AS A CONSEQUENCE OF THESE ACTIVITIES INVOLVE ITSELF IN THE ADMINISTRATION OF THE LICENSING OF MEDIA CONTENT AND RIGHTS.
