Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization amended their bylaws to update their purpose in article iii, to clarify that all board members are volunteers in article iv and no officer other than the president shall be compensated for services to the organization. The organization also updated article vi to state that any such advisor or committee of the coporation shall serve as a volunteer without compensation but the board may authorize by two-thirds (2/3) vote the reimbursement of expenditures reasonably incurred by advisors or a committee arising from activities conducted for the benefit of the corporation.

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by the board and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. Once the board has approved the return it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12

Immediately upon election or appointment to the board, all directors, principal officers, or members of a commitee shall disclose any relevant interest which may pose conflict of interest questions. Disclosure shall include any interest, financial or otherwise, in any corporation, organization, or partnership which provides professional or other services to the corporation. Disclosure statements shall be available to any director of the corporation on request. When any matter comes before the board or any committee of the board in which a director has an interest, that interest shall be immediately disclosed to the board or committee. Whether a director has an interest in a matter shall be determined by whether that person would derive an individual economic benefit, either directly or indirectly, from the decision on the matter by the board or committee. An "interest" is not intended to include positions on legislative matters of general impact. No director shall vote on any matter in which he or she has an interest. The board may, by majority vote, ask any director who has an interest in a matter not to participate, or to leave the room in which discussion is carried on; provided, however, that the interested director may participate in any discussion regarding his or her exclusion. Directors shall not attempt to influence other directors regarding matters in which they are interested, without disclosing that interest.

Form 990, Part VI, Section B, Line 15A

In determining compensation, the board shall consider the compensation offered by comparable organizations for similar positions and shall document the basis for its decisions. If the president, executive director or other employee is a board member, he or she may not participate in the vote with respect to his or her compensation. Review of the compensation policy is documented in the board minutes and was last undertaken in 2015.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at wework building, 1460 broadway, new york, new york, 10036 or by calling the organization directly at 888-600-1648.

Additional Explanations

Form 990, Part I, Line 1

Nyc medics rapidly deploys to remote and difficult to reach areas in disaster zones and complex humanitarian emergencies providing the highest level of medical care with dignity, integrity, and compassion to people who would otherwise not have access to aid and relief efforts. As an implementing partner to the world health organization (who) iraq, nyc medics operated a trauma stabilization point (tsp) throughout 2017 just behind the front line of the conflict. Our volunteer medical teams were the first point of patient contact for anyone injured in the war. Given the nature and severity of traumatic injuries sustained our focus was to stabilize and safely transport patients to receiving hospitals for definitive medical or surgical intervention, which at times were more than two hours away. Additionally, nyc medics implemented and directed the trauma referral system throughout the mosul response. At the request of the who and government of dominica, nyc medics deployed two mobile medical teams in the wake of hurricane maria. The mobile teams comprised of volunteer medical professionals provide emergency and primary care to patients in the worst affected areas.

IRS990/Desc0NYC MEDICS RAPIDLY DEPLOYS TO REMOTE AND DIFFICULT TO REACH AREAS IN DISASTER ZONES AND COMPLEX HUMANITARIAN EMERGENCIES PROVIDING THE HIGHEST LEVEL OF MEDICAL CARE WITH DIGNITY, INTEGRITY, AND COMPASSION TO PEOPLE WHO WOULD OTHERWISE NOT HAVE ACCESS TO AID AND RELIEF EFFORTS.IRAQ RESPONSE:AS AN IMPLEMENTING PARTNER TO THE WORLD HEALTH ORGANIZATION (WHO) IN IRAQ, NYC MEDICS OPERATED A TRAUMA STABILIZATION POINT (TSP) THROUGHOUT 2017 JUST BEHIND THE FRONT LINE OF THE WAR FILLING A CRITICAL GAP IN THE RESPONSE EFFORTS. TSPS WERE THE FIRST POINT OF MEDICAL CONTACT WITH GRAVELY INJURED PEOPLE PROVIDING VITAL TRAUMA CARE AND STABILIZATION, READYING PATIENTS FOR TRANSPORT TO HOSPITALS FOR DEFINITIVE OR SURGICAL CARE. THE NYC MEDICS TSP WAS CONTINUALLY STAFFED AND OPERATED 24 HOURS A DAY, SEVEN DAYS A WEEK. AS A MOBILE UNIT, OUR TSP RELOCATED SEVEN TIMES IN EFFORT TO MAINTAIN A CLOSE PROXIMITY TO THE FRONT AND INTERVENE DURING THE VITAL "GOLDEN HOUR" OF CARE PROVIDING RAPID EVALUATION AND RESUSCITATION. THE MAJORITY OF PATIENTS WERE EVALUATED, TRIAGED, TREATED, AND DISPOSITIONED TO RECEIVING FACILITIES WITHIN 15 MINUTES OF ARRIVING. WITH NYC MEDICS TSP LOCATED BETWEEN THE FRONT LINES AND THE DISTANT FIELD HOSPITALS, OUR VOLUNTEERS PROVIDED LIFE-SAVING CARE TO MORE THAN 2,600 PATIENTS. ADDITIONALLY, NYC MEDICS SUCCESSFULLY IMPLEMENTED A MEDICAL REFERRAL COORDINATION SYSTEM THAT MANAGED OVER 1,600 PATIENT TRANSFERS IN REAL-TIME. NYC MEDICS PLAYED AN INTEGRAL PART IN THE DAY-TO-DAY MANAGEMENT OF PATIENT TRANSFERS BETWEEN FIELD HOSPITALS AND FROM FIELD HOSPITALS TO TERTIARY REFERRAL HOSPITALS, HELPING TO SMOOTH THE COMMUNICATION BETWEEN VARIOUS PARTNER ORGANIZATIONS AND SERVING AS A CENTRALIZED FOCAL POINT FOR REFERRALS. THROUGH THIS REFERRAL COORDINATION, NYC MEDICS HELPED TO ENSURE THAT PATIENTS WERE BROUGHT TO THE HOSPITALS BEST SUITED TO CARING FOR THEIR SPECIFIC NEEDS, THAT PATIENT DISTRIBUTION THROUGHOUT THE FIELD HOSPITAL SYSTEM WAS EQUITABLE ESPECIALLY DURING MASS CASUALTY INCIDENTS, AND THAT PATIENT MOVEMENTS FROM FACILITY TO FACILITY OCCURRED AS SMOOTHLY AS POSSIBLE, WITH OBSTACLES SUCH AS SECURITY CHECKPOINT CLOSURES AND DELAYS IDENTIFIED AND ADDRESSED IN REAL-TIME.DOMINICA RESPONSE:AT THE REQUEST OF THE WHO AND GOVERNMENT OF DOMINICA, NYC MEDICS DEPLOYED TWO MOBILE MEDICAL TEAMS IN THE WAKE OF HURRICANE MARIA THAT OPERATED FROM SEPTEMBER 29 THROUGH OCTOBER 23, 2017. THE MOBILE TEAMS COMPRISED OF VOLUNTEER MEDICAL PROFESSIONALS PROVIDE EMERGENCY AND PRIMARY CARE TO PATIENTS IN THE WORST AFFECTED AREAS. NYCMEDICS RESPONSE FOCUSED ON REACHING REMOTE, ISOLATED COMMUNITIES AND CARED FOR 700 PATIENTS. ADDITIONALLY, NYC MEDICS TEAMS CONDUCTED SIX FACILITY ASSESSMENTS TO FURTHER ASSIST WITH THE RESPONSE AND ENSURE THE FACILITIES WOULD RECEIVE THE SUPPORT NECESSARY DURING THE REACTIVATION OF THE HEALTH CARE SYSTEM. THE MOBILE TEAMS ACCESS SEVERAL REMOTE ISLAND COMMUNITIES INCLUDING ROSEAU, TRAFALGAR, SAN SAUVEUR, MORNE PROSPER, MARIGOT, AND POINTE MICHEL. THE MOBILITY AND FLEXIBILITY OF THE NYCMEDICS TEAMS ALLOWED FOR THE CARE OF HUNDREDS OF PATIENTS WHO OTHERWISE WOULD NOT HAVE BEEN ABLE TO REACH THE OPERATING HEALTH FACILITIES. BANGLADESH NEEDS ASSESSMENT: THIS WAS PERFORMED IN NOVEMBER 2017. WHILE PROGRAMMING OPPORTUNITIES IDENTIFIED AND PARTNERSHIPS WITH TWO LOCAL HEALTH ORGANIZATIONS WERE ESTABLISHED, FUNDING WAS NOT AVAILABLE TO OPERATIONALIZE THE PROGRAM.
