“The temescal telegraph avenue community association hired a paid tax preparer to create the 990. This was reviewed by the executive director, the president of the board of directors, and the executive committee (of officers) prior to filing. A copy of the 990 is made available to all board members.”
“Per the bylaws: in the event that the board or committee determines that a proposed transaction or arrangement presents a conflict of interest, the board or committee shall take the following actions: an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.
