The temescal telegraph avenue community association hired a paid tax preparer to create the 990. This was reviewed by the executive director, the president of the board of directors, and the executive committee (of officers) prior to filing. A copy of the 990 is made available to all board members.

Form 990, Page 6, Part VI, Line 12C

Per the bylaws: in the event that the board or committee determines that a proposed transaction or arrangement presents a conflict of interest, the board or committee shall take the following actions: an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances notproducing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. It shall make its decision as to whether to enter into the transaction or arrangement in conformity with this determination.

As per the executive director contract: an annual evaluation of performance in accomplishing stated duties will occur on or before december 31. After an annual performance review by employer's executive committee, employee may be eligible to receive a compensation increase on or after the subsequent january 1 (merit increase; cost-of-living increase, etc) the last employment review occurred in august of 2020.

Mission statement: the temescal telegraph business improvement district creates, promotes and nurtures an engaging destination for bay area residents, workers, and visitors to experience temescal. We do so through strengthening our thriving economic base of both longtime and new businesses, celebrating the diverse cultures of the district and its events, and enhancing temescal telegraph's physical environment and public safety.

Program service accomplishment 1,continued: ...and prepared 7 additional planters with new dirt, ready to be planted with new plants. Initiated volunteer adopt-a-planter program to maintain the bid's 80 planters, in partnership with temescal residents. Expanded landscaping maintenance to four medians on 40th st. Program service accomplishment 2,continued: produced the 3rd annual holiday instagram campaign promoting temescal businesses and temescal as a shopping destination; expanded promotion of temescal businesses and events through daily engaging posts on facebook, twitter,and instagram. Maintained an updated business listing and engaging events calendar on the bid's website to promote temescal businesses and events. Printed & distributed updated dining & shopping guide promoting temescal shops, services and restaurants. Installed rotating banners across telegraph ave promoting the district & events. Refreshed artwork on utility boxes throughout the district program service accomplishment 3 ,continued: secured city permits and signed construction contract to install 10 pedestrian lights on the east side of telegraph ave from 51st street to aileen st. Street fair account correction -3,076 during a quality control review of the books, it was discovered that there was 3,076 of income recognized twice for an annual event, which was undetected due to a mis-posted bank transfer. It has now been corrected, and a net asset adjustment made to the 990 statement of financial position.
