The temescal telegraph avenue community association hired a paid tax preparer to create the 990. This was reviewed by the executive director, the president of the board of directors, and the executive committee (of officers) prior to filing. A copy of the 990 is made available to all board members.

Form 990, Page 6, Part VI, Line 12C

Per the bylaws: in the event that the board or committee determines that a proposed transaction or arrangement presents a conflict of interest, the board or committee shall take the following actions: an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances notproducing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. It shall make its decision as to whether to enter into the transaction or arrangement in conformity with this determination.

As per the executive director contract: an annual evaluation of performance in accomplishing stated duties will occur on or before december 31. After an annual performance review by employer's executive committee, employee may be eligible to receive a compensation increase on or after the subsequent january 1 (merit increase; cost-of-living increase, etc) the last employment review occurred in august of 2018.
