Governance Explanations

Form 990, Part VI, Section B, Line 11B

Prior to filing, the form 990 will be reviewed by the executive director, and finance committee for approval. Upon approval it will be distributed to the executive committee for approval and upon executive committee approval it will finally be distributed to the full board for review before signature by the acting executive director or treasurer.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is monitored by the secretary of the board and signed by all the staff and board members with significant decision making authority. The conflict of interest policy is then reviewed and signed at the beginning of each fiscal year, however, it is each member's obligation to disclose any potential conflict as soon as it is know, or reasonably should be known.

Form 990, Part VI, Section B, Line 15

The organization's key employee is the executive director. This position reports directly to the board of directors. The executive director's compensation was established by a subcommittee of the board of directors and subject to discussion and vote by the full board of directors. The organization purchased a compensation study to determine the compensation for similar positions at similar organizations. The records of the committee's work and the minutes of the meeting of the board of directors at which the agreement was approved reflect the research, deliberation, and decision.

Form 990, Part VI, Section C, Line 19

The most recent form 990, bylaws, conflict of interest policy, and other governing documents are made available to the public upon request.
