A copy of the return is posted on the board members only website for the board members to review prior to filing, they are notified by the director that it is available for review.

Form 990, Page 6, Part VI, Line 12C

Each board member is required to attest that they have received, read, and understood the current versions of the energy education council's conflict of interest policy. Board members are required to disclose all material direct & indirect personal interests in a proposed transaction involving the council. Any board member who has a conflict of interest must abstain from voting or using his or her personal influence and must not be present when the matter is discussed by the board. Determination of whether a director failed to comply with the council's policies will be made by the board, if a director is found to have failed to comply with council's policies, regarding conflicts of interest, then, except as provided otherwise in the policies, the board shall disqualify the director and the individual is removed from the position.

Form 990, Page 6, Part VI, Line 15A

The chairman of the board of directors circulates a review document asking all board members to provide feedback on performance for the preceding calander year of the council's executive director. That information is compiled and provided to the head of the university of illinois extension, who in consultation with the board recommends a salary adjustment accordingly. Information on compensation on non-profit executives with similar scope of duties & responsibilities is aviailable. The process starts in the spring and concludes with the adjustment in late summer. The director can go to the board for salary adjustments if they so choose, it is up to the discretion of the board of directors and the university of illinois extension to approve any salary amounts. In addition, if the director is seeking to increase salaries beyond the budgeted amounts that they must go to the full board to get approval.
