“The Alliance has three classes of membership- sponsoring members, general members and observers of the Alliance.”

“Each Sponsoring Member and General Member has the right to vote in the election of the Board of Directors at the annual meeting. The Members have no right to vote with respect to any other matter concerning the Alliance.”

“The Controller and Director of Finance compare the federal Form 990 to the audited financial statements. All variances are verified against schedules to determine that they are correct.”

“ATEH's policy is that, on an annual basis, members of the Board of Directors sign a new conflict of interest statement. Any possible conflicts listed are reviewed by the Chief Operating Officer to determine if they truly reflect a conflict. If so, the statements are discussed with the Executive committee. If the committee believes the conflict is real, the board member is asked either to resign from the board of directors or stop the activity that is creating the conflict. For 2015, there was an administrative oversight and this process was not followed during the year. However, subsequent to year end, the Alliance contacted its officers, directors, and key employees about any conflicts of interest in 2015. None were identified.”

“ATEH does not directly hire or compensate employees. All employees are employees of BREAD For The World, Inc. (BREAD), an organization exempt under section 501(c)(4). Periodically, BREAD's human resources department receives general market data from an outside compensation consultant to determine if salaries are in line with organizations of similar mission and/or size. A more thorough market analysis of compensation of specific positions is provided by an outside compensation consultant on an ad hoc basis. The President's salary is reviewed by the board of directors of BREAD on a periodic basis. This is discussed and documented in the executive session. These notes are kept by the board secretary and are not open to the public. However, the board of directors does seek the same independent comparison data for the President that BREAD seeks for all other staff (including other members of the executive team).”

“The Alliance's website includes governance and financial information. Several charity and business rating sites, such as the Better Business Bureau and Charity Navigator, also post these documents and additional information. The Alliance also makes the information available to the public upon request.”
