Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee may exercise all of the powers and authority of the board, except that it shall not have any power or authority as to the following: (i) the creation or filling of vacancies in the board; (ii) the adoption, amendment or repeal of the bylaws; (iii) the amendment or repeal of any resolution of the board that by its terms is amendable or repealable only by the board; and (iv) action on matters committed by the bylaws or a resolution of the board exclusively to another board committee. The executive committee consists of the chair of the board, the chair of each of the standing committees and any additional members of the board selected by the board. All members of the committee are required to also be voting members of the board of directors.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm and is then reviewed by the cfo and executive director. Once this review is complete, the form 990 is forward to the chair of finance and audit committee for review, and then the form 990 will be distributed to remaining board members prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 15

The compensation of the executive director and cfo was most recently reviewed by the board in june of 2019. There were no salary adjustments from 2017 to 2018. The board's compensation review process included the use of an independent external consultant, magis consulting, that provided benchmarking data for similar non-profit organizations from the following five external salary surveys: nonprofit times salary and benefits report, guidestar nonprofit compensation report, wage and benefit survey of southwestern pennsylvania nonprofit organizations by pano, pennsylvania nonprofit salary and benefit report, and tsne mission works compensation and benefits survey of nonprofits in southern new england. The compensation review process, deliberation and final decisions are documented in the board meeting minutes.

Upon request the financial statements are submitted to all parties seeking the information for a variety of reasons (grant applications, etc). The organization goes not make its governing documents or conflict of interest policy available for public inspection.

Bsm has been granted exemption from federal income tax under the provisions of section 501(c)(3) of the internal revenue code. Bsm is also exempt from state income taxes as determined by the commonwealth of pennsylvania. Accordingly, no provision for federal and state income tax is included in the accompanying financial statements. Bsm follows the income tax standard for uncertain tax positions. The application of this standard has no impact on bsm's financial statements.

THE HC PROVIDES NUTRITIOUS MEALS, SERVED IN AN INDOOR, FAMILY STYLE SETTING, 5 TIMES PER WEEK TO AN AVERAGE 240 ADULTS PER MEAL. A TRAUMA-INFORMED MODEL OF CARE IS EMPLOYED TO MITIGATE THE TRAUMATIC EFFECTS OF LIVING WITH CHRONIC SCARCITY: THERE ARE FEW LINES (E.G., NO "FIRST COME FIRST SERVED" APPROACH), GUESTS ARE TREATED WITH DIGNITY AND RESPECT, AND THERE IS "ALWAYS ENOUGH FOR EVERYBODY". DURING MEALS, GUESTS CAN ACCESS THE CRITICAL SERVICES AND BENEFITS SUCH AS PERSONAL CARE ITEMS, CLOTHING, THERAPEUTIC ARTS, ASSISTANCE WITH ID PROCUREMENT, AND A MAIL SERVICE, CURRENTLY SERVING OVER 2,500 PHILADELPHIANS, WHICH ALLOWS OUR GUESTS TO PROVE RESIDENCY AND OBTAIN PUBLIC BENEFITS. IN ADDITION, OUR CONCIERGES (CASE MANAGERS) WORK TO CONNECT OUR GUESTS TO STABILIZING SERVICES PROVIDED BY OUR TRUSTED COLLABORATING PARTNERS FOR MEDICAL AND BEHAVIORAL HEALTH, LEGAL ASSISTANCE, PUBLIC BENEFITS, HOUSING COUNSELING, AND MORE.
