Such person must certify that he/she has received a copy of the policy, has read and understands the policy, has agreed to comply with the policy, and understands urban compass is charitable and, in order to maintain its federal tax exemption, must engage primarily in activities which accomplish one or more of its tax-exempt purposes after disclosure of a conflict, and after any discussions with the interested person deemed necessary or convenient by the board of directors. The board of directors considers the proposed transaction or arrangement at issue shall discuss and vote on whether such interested person has a conflict of interest and whether the transaction or arrangement is in urban compass's best interest, for its own benefit, and whether it is fair and reasonable.”

“The process for determining the executive director's compensation includes conducting a comparable salary study to see what peer organizations of our size are pay ing the executives salary is reviewed by the board at they early budget board meeting the executive director does not have a written employment contract.”
