As a result, she is not a voting member of the board. The business relationship falls below the schedule l disclosure threshold and therefore schedule l was not required to be completed. Business relationships are conducted at arms' length, pursuant to normal business terms.”

“Accounting, management, and administrative functions are provided by association executive services, inc., a management company that specializes in nonprofit organizations. Actions of the management company are reported to the board. There is an arm's length business relationship between lidma and the management company. Additionally, the management company is not a controlled entity with respect to lidma and vice versa.”

However, none of the members actually have an ownership interest in lidma and they cannot receive a share of the organization's profits or excess dues or net assets upon the organization's dissolution.”
