The Bay Area Council Foundation (BACF) is a 501(c)(3) charitable organization founded in 2004 to fund, manage and implement initiatives that impact the entire Bay Area region of California. The mission of BACF is to support the Bay Area Council (BAC) and invest philanthropic resources toward building stronger, more vibrant communities, a healthy economy, and a more innovative, globally competitive and sustainable Bay Area region. We do not make grants and function largely as an operating foundation.

“Our tax return is reviewed and prepared by our independent CPA firm. The program elements are prepared by senior management to include the CEO and CFP. The CPA firm also performs the independent financial audit as required by the Board of Directors. Financial results and program figures are included herein. Financial results are reported to the Executive committee of the Board for their review prior to filing.”
“The finance and administrative departments regularly monitor for conflicts of interest. Our conflict of interest policy is included in our Employee HR handbook. Directors, officers and employees are required to sign a conflict of interest statement.”
“There are no employees of the Bay Area Council Foundation. All employees are paid from the the Bay Area Council 501c4 and transfer pricing methods are used to allocate to the related BACF entity. “BACF - China California Trade Offices - On October 31, 2015, BACF management approached Go Biz and the Governor's office to execute their right to terminate the contact/program for lack of continuous annual funding. The program had been supported by CTO Advisor Board members composed of business organizations from the Bay Area Region for three consecutive years. During 2015, BACF campaigned to sustain the 2015 annual round of funding necessary to support the program while trying to locate a Southern California partner to share in the operating responsibility and annual costs. A southern california CTO partner could not be identified and secured to participate ed, so BACF management was forced to discontinue the program. The CTO program contributed to the overall loss of the Foundation in 2015.”

“Bay Area Council Inc. is exempt from taxation under Internal Revenue Code Section 501(c)(4) and BACF is exempt as a 501(c)(3). BAC LLC is subject to both Federal and State taxation. For the 2015 and 2014 financial years, BAC LLC had reported net loss of $4,124 in 2015. There was no Federal and State tax liabilities due for the years ended December 31, 2015 and 2014. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by BAC in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. BAC's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed. The China WFOE is subject to Chinese enterprise income tax ("EIT"), value added tax (VAT) applied to certain districts in China and business income tax ("BIT") prescribed by Chinese tax laws and ordinances. At December 31, 2015 and 2014, the WFOE accrued the equivalent of $25,000 USD and $34,903 USD for the estimated EIT and BIT tax liabilities, respectively. During 2015, the China Government tax authorities audited the WFOE for compliance and found no exceptions in recording our tax liability and subsequent payments associated with taxes due.”
