Governance Explanations

Form 990, Part VI, Section A, Line 7A

Any new board member goes through a formal nomination process carried out by a nominating committee comprised of current board members.

Form 990, Part VI, Section A, Line 8B

The board of directors document each meeting throughout the year.

Form 990, Part VI, Section B, Line 11B

The final version of form 990 is approved by the financial director and presented to the board of directors.

Form 990, Part VI, Section B, Line 12C

All employees and members of the board are subject to the organizations conflict of interest policy regarding proposed or ongoing transactions. Employees and members of the board are required to disclose any known or possible conflicts of interest to the executive committee of the board. If the executive director or executive committee of the board become aware of a possible conflict of interest for a proposed or ongoing transaction, the executive committee of the board will immediately review the transaction to determine who may have the conflict and if there is an actual conflict. The executive director reviews conflicts of interest issues with employees and makes transaction decisions when such a conflict exists for an employee. The executive committee of the board reviews conflicts of interest issues for the executive director and members of the board. The executive committee makes transaction decisions when there is a conflict of interest for the executive director. Should a member of the board be the person with the conflict of interest that member of the board must recuse him/herself from the consideration and vote for that transaction.

Form 990, Part VI, Section B, Line 15A

The board of directors review the compensation of the executive director(s).

Form 990, Part VI, Section C, Line 19

Financial statements are made available to the public upon request.
