Governance Explanations

Form 990, Part VI, Section A, Line 3

The school district of cambridge donated the services of the following people to act as officers of cambridge communities activities program, inc.: bridgette hermanson, executive director; lesli rumpf, aquatics and recreation director; and jody wilke, parks, recreation, and use director. During 2015, bridgette hermanson received $61,946 of compensation and $8,181 of alternate benefits, lesli rumpf received $49,479 of compensation, and jody wilke received $45,573 of compensation.

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11

The prepared form 990 is reviewed by the executive director and chairperson before the return is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organizaiton's conflict of interest policy covers all directors and employees. Any director or employee is considered an interested person. In connection with any actual or possible conflict of interest, the interested person must disclose all material facts to the directors. If the directors determine that a conflict of interest may exist, the interested person cannot be present at the meeting while the determination of a conflict of interest is discussed and voted upon. If a conflict that may affect the daily or long-term operations of the organization is identified, either the conflict is removed or the person is asked to no longer serve in such capacity. To ensure that the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, each director and employee must annually sign a statement that affirms that such person has received a copy of the conflict of interest policy, has read and understands the policy, and has agreed to comply with the policy.

Form 990, Part VI, Section B, Line 15

On an annual basis the directors research compensation data and consult with the school district's business manager. The directors also review the statewide school salary survey and use it to deliberate and make final decisions regarding compensation for the executive director and all employees.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
