Mission

Commonweal conservancy is a nonprofit conservation-based community development organization dedicated to forging deep and sustaining relationships among people, land, and the built environment. In our commitment to integrating the goals of environmental protection and community building, we acquire signature landscapes that define acommunity's sense of place and spearhead the planning, entitlement anddevelopment processes associated with inclusive and engagingplace-making. Our practice of integrative conservation developmentaims to provide for public needs such as affordable housing,educational opportunities, and economic developmentas well as the needfor substantial open space that's protected, accessible, and deeplycared for.

All governing decisions are made by the full board of directors. The board has no committees.

Form 990, Part VI, Section B, Line 11

Each year, the board ensures that the form 990 is reviewed by a member of the board, or a designee of the board, with appropriate qualifications. That person communicates his or her findings to the board. A draft form 990 is made available to all members of the board for review and comment. The final copy of the 990 is provided to all board members prior to filing with the irs and state authorities.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers each member of the board of directors, officers, each employee, such persons' family members, affiliated entities, any other person the board determines to have substantial influence over the organization, and any person who met one of the above definitions at any time during five years before any proposed transaction that may involve a conflict of interest. The policy requires each new employee and board member to read the policy and complete a compliance and disclosure statement. In addition, every executive employee, officer, and board member completes the statement annually. The board determines whether a conflict of interest exists and reviews actual conflicts. The board of directors authorizes and oversees an annual review of the administration of the policy. If a conflict of interest arises, the board member will refrain from the discussion and vote on the matter.

Form 990, Part VI, Section B, Line 15

The governing board approved an executive compensation policy designed to conform to the treasury regulations creating a rebuttable presumption of reasonableness, that includes independent review and approval by the board, comparability data, and contemporaneous substantiation of the deliberation and decision. Compensation has not been reviewed in several years, as there have been only minor changes.

Financial Statement Notes

PART II, LINE 3:

During the year ended june 30, 2014, the organization donated 1) a 300-acre easement it had overlaid on a portion of its property; and 2) a 160-acre easement it had retained over property sold to a conservation buyer.

PART II, LINE 5:

The board of directors has adopted a conservation easement policy that sets forth (1) criteria for acceptance of easements, (2) provisions for annual monitoring of easements, including site inspections and communication with property owners, (3) guidelines for inspecting and documenting condition of the property with respect to the terms of easements, and (4) procedures for investigating, enforcing, and resolving violations of the terms of easements. The organization is committed to maintaining the most constructive working relationship possible with the property owners and uses all reasonable attempts at negotiation before using litigation as a last resort to correct violations. Easements held by the organization reflect the board policy.

PART II, LINE 9:

Since the benefits of conservation easements accrue to the public upon acquisition, the fair market value of easements acquired is shown in the year of acquisition as an addition to net assets to record the donation of the easement, and unless conveyed to a public agency for consideration, shown as a reduction in net assets to record the value of the public's benefit and to recognize that these easements have no marketable value once severed from the land. Easements are carried on the statement of financial position at $1 each for tracking and accounting purposes. During the year ended june 30, 2014, there were no easements donated to the organization. The organization also donates and sells easements to public agencies and land trusts. Donations and sales of easements are recorded as expense measured at the fair value of the decline in value of the related land.

ALTHOUGH THE CONSERVANCY MAINTAINS A SMALL STAFF OF THREE PROFESSIONALS, THE ORGANIZATION'S EFFORTS ARE ADVANCED THROUGH A PROGRAM OF FOUNDATION AND CORPORATE GRANT APPLICATIONS AND INDIVIDUAL DONOR FUNDRAISING APPEALS, INCLUDING WEBSITE SOLICITATIONS. SINCE ITS FOUNDING IN 2003, THE CONSERVANCY HAS ATTRACTED INCREASING SUPPORT FROM INDIVIDUALS, ORGANIZATIONS, AND AGENCIES. GRANTS AND GIFTS HAVE BEEN SECURED FOR A WIDE RANGE OF OPEN SPACE ACQUISITION, HABITAT RESTORATION, CONSERVATION EASEMENT STEWARDSHIP, AFFORDABLE HOUSING PLANNING, AND PUBLIC RECREATION-RELATED PURPOSES. DURING THE ECONOMIC DOWNTURN OF THE PAST SEVERAL YEARS, A SIGNIFICANT PORTION OF THE ORGANIZATION'S FUNDING HAS COME FROM THE SALE OF PROGRAM-RELATED CONSERVATION PROPERTIES. A CONSTRAINED PHILANTHROPIC ENVIRONMENT HAS MADE IT DIFFICULT TO ACHIEVE THE PUBLIC SUPPORT STANDARDS OF SECTION 509(A)(2). WITH INCREASING PHILANTHROPIC RESOURCES AND AN EXPANDING POOL OF DONORS AVAILABLE TO THE ORGANIZATION, HOWEVER, THE CONSERVANCY'S FUNDRAISING ACTIVITIES PROMISE TO BE INCREASINGLY DIVERSE AND PRODUCTIVE. ACCORDINGLY, IN THE VIEW OF ITS BOARD OF DIRECTORS AND MANAGEMENT, THE SCOPE OF THE CONSERVANCY'S FUNDRAISING ACTIVITIES SEEMS REASONABLE RELATIVE TO ITS GROWING CHARITABLE PROGRAM ACTIVITY. 3.
