Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, it is electronically sent to the board for approval. Once the board has approved the return it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Annually, officers, directors, and employees of the organization must sign a conflict of interest statement. Each applicable insider shall disclose to the board all material facts regarding his or her interest in the transaction, promptly upon learning of the proposed transaction. With regard to an insider, the board shall determine if a conflict of interest exists. The insider and any other interested persons involved with the transaction shall not be present during the board's discussion or determination of whether a conflict of interest exists. The board shall decide what measures are needed to protect the organization's interests in light of the nature and seriousness of the conflict, to decide whether to enter into the transaction and, if so, to ensure that the terms of the transaction are appropriate. The insider is prohibited against any attempts to influence the deliberation or voting on the matter giving rise to the conflict.

Form 990, Part VI, Section B, Line 15A

The board of directors reviews and approves the salary of the chief executive officer. The board uses a salary survey to assure the salary is reasonable and comparable to top management officials of similarly situated organizations. The compensation is presented to the entire board of directors for approval and is recorded in the board minutes. Review of this policy was last undertaken in 2019.

Form 990, Part VI, Section C, Line 19

The organization makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, conflict of interest policy, articles of incorporation and by-laws are also available upon written request at 40 smith street, middletown, ny, 10940...or by calling the organization directly at (845)-342-3978.
