There shall be seven classes of members, as follows: (1) realtor members (2) institute affiliate members (3) affiliate members (4) public service members (5) honorary members (6) student members (7) senior realtor members potential members must go through an application and qualification process before being elected to membership by the board of directors.

Form 990, Page 6, Part VI, Line 7A

The election of officers and directors shall take place at the annual meeting. Election shall be by ballot and all votes shall be cast in person. Realtor members, whether primary or secondary, in good standing whose financial obligations to the association are paid in full shall be entitled to vote and to hold elective office in the association.

Form 990, Page 6, Part VI, Line 7B

The following decisions are subject to approval by the organization's members: 1. In the event that an officer or director is deemed to be incapable of fulfilling the duties for which elected, but will not resign from office voluntarily, the officer or director may be removed from office under the following procedure. (a) a petition requiring the removal of an officer or director and signed by not less than one-third of the voting membership or a majority of all directors shall be filed with the president, or if the president is the subject of the petition, with the next-ranking officer, and shall specifically set forth the reasons the individual is deemed to be disqualified from further service. (b) upon receipt of the petition, and not less than twenty (20) days or more than forty-five (45) days thereafter, a special meeting of the voting membership of the association shall be held, and the sole business of the meeting shall be to consider the charge against the officer or director, and to render a decision on such petition. (c) the special meeting shall be noticed to all voting members at least ten (10) days prior to the meeting, and shall be conducted by the president of the association unless the president's continued service in office is being considered at the meeting. In such case, the next-ranking officer will conduct the meeting of the hearing by the members. Provided a quorum is present, a three-fourths vote of members present and voting shall be required for removal from office. 2. The organization's bylaws may be amended by a majority vote of the members present and qualified to vote at any meeting at which a quorum is present, provided the substance of such proposed amendment or amendments shall be plainly stated in the call for the meeting.

An officer, director, or volunteer committee member (leader) with actual or potential conflicts of interest must immediately disclose all facts material to the actual or potential conflict at the outset of any discussions by the organization pertaining to the business which creates the actual or potential conflict. The leader will be excused from meetings during such discussions unless otherwise requested by the board. No leader with a conflict of interest may vote on any matter in which the leader has a conflict of interest and will not be permitted to be present in the meeting room during the discussion or during a vote. In the event that it is not entirely clear that a conflict of interest exists, the leader with the potential conflict shall disclose the circumstances at the onset of any discussion and the decision-making body will determine the existence of a potential conflict that is subject to the organization's policy. Anyone wishing to serve in a leadership capacity (officer, director, or volunteer committee member) must complete, on an annual basis, a conflict of interest disclosure statement.

A performance review for the executive officer is conducted on an annual basis by the executive committee. Compensation is reviewed at the time of the executive officer's contract renewal by the finance committee who then makes a recommendation to the board of directors. The national association of realtors provides the organization with a compensation study based on board size.

Financial Statement Notes

Schedule D, Page 3, Part X

The dcar files an annual 990 as a tax-exempt organization under section 501(c)(6) of the internal revenue code. As such, no federal or new york state taxes are paid by the dcar. The dcar has been classified as an entity that is not a private foundation within the meaning of section 509(a) and qualifies for deductible contributions as provided in section 170(b)(1)(a) (vi). The dcar adopted the provisions of accounting principles generally accepted in the united states of america regarding accounting for uncertain tax positions. Management evaluated the dcar's tax positions and concluded that the dcar had taken no uncertain tax positions that would require the adjustment to the financial statements in order to comply with the provisions of this guidance. With few exceptions, the dcar is no longer subject to income tax examinations by the u.s. Federal, state, or local tax authorities for years prior to 2015.
