Governance Explanations

Form 990, Part VI, Section A, Line 6

The american hotel and lodging association, a related tax-exempt organization is the sole member.

Form 990, Part VI, Section A, Line 7A

There is one class of members. The members have the authority to elect members of the governing body.

Form 990, Part VI, Section A, Line 7B

The members have authority to vote during meetings of the members and as permitted under the bylaws and applicable law. The governing documents can only be amended by vote of the member.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm. The board delegated the review of form 990 to the audit and certification and credentials committee (acc) the responsibility to review the return before filing. The acc reviews the entire return and directs any questions to the president.

Form 990, Part VI, Section B, Line 12C

On an annual basis all employees are given the conflict of interest policy and are required to sign the acknowledgement form indicating that they have read and understand the policy and guidelines. Also, the policy is in the employee handbook that they, on an annual basis, must review and sign. Should a conflict of interest be brought to the foundation's attention, all legal guidelines will be followed according to the policy set forth in the employee handbook. Board members are required to sign acknowledgement of the conflict of interest policy on an annual basis. The policy is also included in the board agenda at all governance meetings along with the anti-trust law as a reminder of the policy. Members of the board of directors monitor compliance with the conflict of interest policy. They are responsible for deciding on a resolution to any conflicts identified.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
