Governance Explanations

Form 990, Part VI, Section A, Line 6

The toy industry association, inc. (the "association") is a not-for-profit, non-stock, membership trade association representing producers, distributors, importers, retailers, sales reps, licensors, inventors and designers of toys, games, children's interactive products and kindred lines intended for the youth market in north america.

Form 990, Part VI, Section A, Line 7A

Individuals from member companies are nominated to be officers and/or directors by the nominating committee or by at least 10% of the members. The members vote on the proposed slate of officers and directors at the annual meeting. The tia board oversees the operations of the association including review of budgets, financial results, major decisions affecting the association's efforts and other governance matters. The tia board meets three times annually and the board's executive committee consisting of the chairman, vice chairman, treasurer and two additional board members meets periodically throughout the year.

Form 990, Part VI, Section A, Line 7B

Changes to the tia by-laws require the approval of two-thirds of the regular members of the association attending the annual or a special meeting of the members.

Form 990, Part VI, Section B, Line 11

The form 990 was presented to the members of tia's executive committee for review. Upon completion of the executive committee's review and approval, the form 990 is provided by email to all members of the board. At that time it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All board members and members of tia's senior management team are requested to sign and complete an annual conflict of interest statement and disclosure. All employees are requested to sign and complete a conflict of interest statement and disclosure upon employment by tia.

Form 990, Part VI, Section B, Line 15

Tia's executive committee reviews and approves the compensation of the president. The president has the authority to review and approve the compensation of all other employees subject to board approved budget constraints.

Form 990, Part VI, Section C, Line 19

Tia's form 990 is available upon request. Condensed financial information is included in tia's annual report posted on its website at www.toyassociation.org and is available upon request.
