Mission

Transitcenter is dedicated to supporting and promoting greater use of public transit through program activities that include applied research and publications, information and education efforts, grant-making, and the convening of events which promote the many benefits of public transit. Transitcenter,inc. Is a 501(c)(3) corporation, and is a non-governmental, not-for-profit entity, qualified as a "public charity" with a social mission that is in the broad public interest. Transitcenter's mission is to encourage greater use of public transit. The benefits of public transit include, but are not limited to, an improved environment through reduced contributions to climate change and air pollution, sound urban development and economic prosperity, workforce access to jobs, and mitigated traffic congestion.

HIS ACTIVITIES INCLUDED ADMINISTERING THE ON-GOING AFFAIRS OF THE COMPANY, DEVELOPING NEW IDEAS FOR THE COMPANY'S FUTURE FOCUS IN SUPPORT OF ITS TRANSIT-ORIENTED MISSION, AND MAINTAINING CONTACTS WITHIN THE INDUSTRY INCLUDING BY ATTENDING CONFERENCES AND SEMINARS. THE PRIMARY ACTIVITY OF TRANSITCENTER PRIOR TO FEBRUARY 2012 WAS OPERATION OF THE TRANSITCHEK PROGRAM. SOLD TO WAGEWORKS, INC. ON FEBRUARY 1, 2012, TRANSITCHEK WAS AN INNOVATIVE METHOD OF AIDING EMPLOYERS IN PROVIDING THEIR EMPLOYEES THE OPPORTUNITY TO UTILIZE THE TAX-FREE TRANSIT BENEFIT PROGRAM AUTHORIZED UNDER SECTION 132(F) OF THE INTERNAL REVENUE CODE QUALIFIED TRANSPORTATION FRINGES. BENEFIT PRODUCTS WERE SHIPPED DIRECTLY TO EMPLOYERS WHO, IN TURN, REDISTRIBUTED TO EMPLOYEES. IN CONNECTION WITH ITS OPERATION OF THE TRANSITCHEK PROGRAM, THE CORPORATION PERFORMED THE FOLLOWING MAJOR SERVICES: 1) MARKETED THE BENEFITS OF MASS TRANSPORTATION AND THE USE OF TRANSITCHEK TO EMPLOYERS AND EMPLOYEES; 2) OPERATED THE TRANSITCHEK ORDER DELIVERY AND CUSTOMER SERVICE FUNCTIONS; 3) MANAGED THE TRANSITCHEK PAYMENT SYSTEM TO ENSURE THAT ALL PARTICIPATING TRANSIT OPERATORS RECEIVE PAYMENT WHEN ACCEPTING BENEFIT PRODUCTS; AND 4) PROVIDED REPORTS AND ANALYSIS OF THE PROGRAM'S PERFORMANCE. TRANSITCENTER EXPANDED THE REACH OF THE TRANSITCHEK PROGRAM TO MARKETS NATIONWIDE.WITH THE SALE OF THE TRANSITCHEK PRODUCT IN 2012, THE TRANSITCENTER BOARD AND STAFF HAVE CONTINUED TO ENGAGE IN ACTIVITIES TO ACHIEVE ITS BROAD SOCIAL MISSION OF ENCOURAGING GREATER USE OF PUBLIC TRANSIT. THE REMAINING SINGLE EMPLOYEE APPEARED AT CONFERENCES AND SEMINARS TO CONTINUE ADVOCACY AND EDUCATION ABOUT THE COMMUTER PRE-TAX PROGRAM, AND TO EXTOL THE POSITIVE IMPACTS OF MASS TRANSIT. THOSE BENEFITS OF PUBLIC TRANSIT INCLUDE AN IMPROVED ENVIRONMENT THROUGH REDUCED CONTRIBUTIONS TO CLIMATE CHANGE AND AIR POLLUTION, SOUND URBAN DEVELOPMENT AND ECONOMIC PROSPERITY, WORKFORCE ACCESS TO JOBS, AND MITIGATED TRAFFIC CONGESTION. THROUGHOUT THE BALANCE OF 2012, THE ORGANIZATION CONTINUED TO MAINTAIN ITS PRIOR WEBSITE WITH LINKS TO INFORMATION ON HOW TO RIDE TRANSIT AND HOW CONSUMERS CAN UTILIZE THE TAX BENEFITS PROVIDED UNDER IRC 132(F) BY USING PUBLIC TRANSPORTATION.FOR THE ELEVEN MONTHS OF 2012 WHICH FOLLOWED THE SALE OF TRANSITCHEK, MOST OF THE BOARD'S FOCUS AND THE SOLE STAFF MEMBER'S ACTIVITY HAS BEEN ON LAYING THE GROUNDWORK FOR NEW PROGRAMMING. HENCE MOST OF THE ACCOMPLISHMENTS FOR THE YEAR RELATE TO ORGANIZATIONAL DEVELOPMENT RATHER THAN EXTERNAL PROGRAMMING. THOSE ACCOMPLISHMENTS INCLUDE: ADOPTION OF A SUSTAINABLE INVESTMENT STRATEGY WITH THE PROCEEDS OF THE SALE TO FUND PROGRAM ACTIVITIES, WHICH MAY INCLUDE APPLIED RESEARCH AND PUBLICATIONS, INFORMATION AND EDUCATION EFFORTS, GRANT-MAKING, AND THE CONVENING OF EVENTS WHICH PROMOTE THE MANY BENEFITS OF PUBLIC TRANSIT, FOR YEARS TO COME; RETENTION OF AN INVESTMENT ADVISOR AND FIRST-CLASS ACCOUNTING FIRM; THE RETENTION OF AN EXECUTIVE SEARCH FIRM AND COMPENSATION FIRM AND THE COMMENCEMENT OF A SEARCH (BEGINNING AUGUST 2012) FOR A NEW EXECUTIVE DIRECTOR; AND THE OTHER ADMINISTRATIVE MATTERS RELATED TO SEPARATION OF MOST EMPLOYEES AND TRANSITION TO THEIR NEW EMPLOYER, WAGEWORKS, INC.

ADVOCACY ACTIVITIES CENTERED ON EFFORTS TO EXTEND TAX LEGISLATION THAT INCREASED THE PRE-TAX MONTHLY LIMIT FOR THE TRANSIT BENEFIT TO THE SAME LEVEL AS THE PARKING PORTION OF THE COMMUTER BENEFIT. A PROVISION WAS INCLUDED IN THE AMERICAN RECOVERY AND REINVESTMENT ACT OF 2009 TO INCREASE THE TRANSIT BENEFIT TO THE SAME LEVEL AS THE PARKING LEVEL ON A TEMPORARY BASIS. AFTER A ONE YEAR EXTENSION OF THIS PROVISION IN 2010, IT WAS SET TO EXPIRE ON DECEMBER 31, 2011. TRANSITCENTER CONTACTED MEMBERS OF THE U.S. SENATE AND HOUSE OF REPRESENTATIVES TO SEEK ENACTMENT OF LEGISLATION TO RESTORE PARITY BETWEEN THE PARKING AND TRANSIT PORTIONS OF THE COMMUTER BENEFIT, AS PART OF TRANSPORTATION AUTHORIZATION OR TAX RELATED LEGISLATION. OTHER ACTIVITES INCLUDE THE COST OF A SOFTWARE SUBSCRIPTION THAT ALLOWS USERS OF "COMMUTER BENEFITS WORK FOR US" WEBSITE TO GENERATE LETTERS TO MEMBERS OF CONGRESS ($1,788) AND A PORTION OF THE DUES PAID TO THE AMERICAN PUBLIC TRANSPORTATION ASSOCIATION ($170).

MANAGEMENT HAS ANALYZED THE TAX POSITIONS TAKEN BY THE COMPANY, AND HAS CONCLUDED THAT AS OF DECEMBER 31, 2012, THERE ARE NO UNCERTAIN TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN THAT WOULD REQUIRE RECOGNITION OF A LIABILITY OR DISCLOSURE IN THE FINANCIAL STATEMENTS.
