Mission and Program Overview

Mission

To devote energy and effort to the design history, theory, and practice of urban architecture, planning, and design, the development of cities and urban development, the relationship between built objects and systems and the lives of people in cities.

The skyscraper museum is a not-for-profit educational corporation that explores the themes of urban vitality, identity and culture. Located in lower manhattan, the museum is the only institution in this country devoted to the story of tall buildings past, present and future. Through exhibitions, collections, programs and our website, the museum explores the role of tall buildings as objects of design, products of technology, sites of construction, investments in real estate, places of work and residence and powerful cultural symbols. The gallery is a work of contemporary architecture by roger duffy of skidmore, owings and merrill. Using the reflections of a mirror- polish stainless steel floor and ceiling, the design creates an impression of endless vertical towers.

Governance Explanations

Form 990, Part VI, Section A, Line 2

Carol willis, a president and director, and mark willis, a vice president, have family relationship.

Form 990, Part VI, Section A, Line 8B

There is an audit committee which reviews and approves the audited financial statements and it also appoints the auditor and reports its findings and conclusions to the full board. The board of directors makes all other decisions.

Form 990, Part VI, Section B, Line 11

An electronic copy of the 990 is sent to the president and the coo of the museum for review. After their review is complete and all of their questions have been answered by the auditors, an electronic copy of the 990 is then sent to the board's audit committee for their review and approval after which, it is then distributed to the entire board of directors.

Form 990, Part VI, Section B, Line 12C

Each year, the museum distributes its conflict of interest statement to every member of the board with a cover letter describing the positive action required by each member. Each member is required to sign the document and initial whether or not they have a conflict. The chair of the board decides whether a conflict exists and will then review each conflict. If it is determined that an actual conflict of interest exists, the member will not be allowed to vote or be part of any decisions about such transactions.

Form 990, Part VI, Section B, Line 15A

The board of directors decides the compensation of the president at its annual meeting. This is done by obtaining 990's of comparable organizations, salary surveys and approval by the board of directors. Documentation is in the minutes of the board meeting. The process of determining compensation was last time undertaken at the board meeting dated december 7, 2015.

Form 990, Part VI, Section C, Line 19

The museum does not make public any of its governing documents, conflict of interest statements or financial statements. They can be made available upon request by contacting the organization.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The organization did not change its oversight process from the prior year.

Form 990, Part I, Line 18, Part XI, Line 6 & Schedule D, Part XII, Line 2A

Reporting of amortization: for 2015 form 990, part ix, statement of functional expenses, excludes the amortization in connection with the leasehold interest donated to the museum by the battery park city authority under a rent free lease. For financial statement purposes, the lease is amortized over the lease period in the amount of $43,478. The amortization of previously capitalized in-kind contributions allowed for financial reporting purposes is excluded for tax purposes and reflected as a reconciliation adjustment on schedule d, part xii, line 2a and on part xi, line 6 as an adjustment to net assets.

Financial Statement Notes

PART III, LINE 1A:

Works of art and historical items in the museum's collection are not recognized as assets in the statement of financial position. Purchases of works of art and historical items are recorded as expenses in the year in which the items are acquired.

PART III, LINE 4:

The museums collections are works of art, historical items and special projects created for the purpose of displaying and recognizing the worlds greatest buildings.

PART X, LINE 2:

The museum makes disclosures about the effect of income tax positions only when those positions are more likely than not to be sustained. Management has determined that the museum has no uncertain tax positions that would require financial statement recognition or disclosure. The museum is no longer subject to audits by applicable taxing jurisdictions for tax years prior to fiscal 2013.
