“The organization's form 990 was prepared by the outside accountants. The draft return was reviewed by the director of finance and administration, the director of strategic planning, the chief operating officer and then forwarded to the president for final review.”

“Members of the board and employees are required to sign an annual conflict of interest agreement to confirm they understand the conflict of interest policy of the organization and acknowledge that there is no conflict of inerest that they are aware of. The organization's conflict of interest policy also applies to employees. Procedure followed by the organization when there is a conflict of interest- (i) an interested person makes a presentation at the board or committee meeting, but after the presentation, he or she leaves the meeting during the discussion of and the vote on the transaction or arrangement involving the possible conflict of interest. (ii) the chair or president of the board or committee, if appropriate, appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. (iii) after exercising due diligence, the board or committee determines whether council for a strong america can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. (iv) if a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee determines by a majority vote of the disinterested directors or committee members whether the transaction or arrangement is in council for a strong america's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it makes its decision as to whether to enter into the transaction or arrangement.”

“In determining compensation the organization used the guidestar compensation report, non-profit times compensation and benefits survey and 990 reported salaries for comparable organizations. The human resources manager prepares a written analysis and presents this analysis to the board of directors who makes salary adjustment decisions for the president. The last compensation review took place in december 2015.”

“The organization's articles of incorporation, conflict of interest policy and financial statements may be made available upon request.”
