Mission

LESHRC's mission is to reduce the spread of HIV infection among drug users and others in the lower east side of Manhattan. The organization strives to promote harm reduction principles through needle exchange program for injection drug users and providing information about HIV and AIDS.

LOWER EAST SIDE HARM REDUCTION CENTER, Inc. ("LESHRC") IS A CULTURALLY DIVERSE, COMMUNITY-BASED, NON-PROFIT ORGANIZATION. ITS MISSION IS TO REDUCE THE SPREAD OF HIV/AIDS, HCV AND OTHER DRUG RELATED HARM AMONG INJECTION DRUG USERS AND THE COMMUNITY. LESHRC PROVIDES A COMPREHENSIVE ARRAY OF HARM REDUCTION SERVICES IN FIVE (5) MAJOR PROGRAM AREAS: MENTAL HEALTH & SUBSTANCE USE SERVICES, RESOURCE COUNSELING & HOUSING, BEHAVIORAL HEALTH & MEDICAL SERVICES, OUTREACH & COMMUNITY DEVELOPMENT, AND SYRINGE EXCHANGE & HOLISTIC SERVICES. Lower East Side Harm Reduction Center, Inc. (LESHRC) has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, it was reviewed by appointed board members. It was then presented to those board members and management by the outside accounting firm. When ready to be filed with the Internal Revenue Service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, line 12C

The conflict of interest policy is applicable to all employees, board members and officers. In the engagement of consultants, we would, prior to any engagement, attempt to determine if any conflict of interest existed in any case. Consultant agreements provide for the non-disclosure of confidential information. The policy relative to conflict of interest is detailed in the bylaws for directors and officers, as well as in the employee handbook for staff. Currently the policy requests disclosures from the party who may have a conflict of interest. Thus, the policy is monitored on a case-by-case basis as the need arises. There is not, for example, an annual re-affirmation required of board of directors, officers or staff. A member of the board shall disclose the conduct or potential conflict as soon as he/she recognizes the conflict. If self-disclosure is not made, the board chair or any member of the board of directors can, prior to voting on a specific matter in which a potential conflict of interest exists, inquire whether any member of the board desires to abstain from voting. If no conflict of interest is disclosed, but the chair or any other member of the board is aware of one and the potential conflicted board member refuses to abstain from the deliberations or voting as requested, the chair shall immediately call for a vote of the directors to determine whether the challenged director is in a conflict position. If a majority of the directors present vote to require the abstention of the challenged director, that director shall not be premitted to vote.

An annual standardized performance review in areas of financial management, leadership, development and supervision to assess competence and achievement of expected outcomes is conducted in board members, leadership team, staff and funders. The board shares the aggregated findings with the executive director and determines the compensation based on whether the deliverables are met. The review is then placed in the executive directors personal file.

Additional Explanations

Final Return and Corporate Dissolution

The board of directors of Lower East Side Harm Reduction Center, Inc. (LESHRC) voted to dissolve the organization and transfer all assets and liabilities to Aids Service Center of Lower Manhattan Inc. - DBA - Alliance for Positive Change (The Alliance). During fiscal year end 6/30/16, Sharen Duke, executive director of The Alliance was named executive director of LESHRC. She along with the reaming 2 board members over saw the transition of programs and net assets from LESHRC to The Alliance. A plan of dissolution was submitted to the New York State Attorney General and approved on December 14, 2014. The final dissolution of the organization is pending receipt of the final 990 and New York State CHAR500 by the New York State Attorney General. The attached for 990 will be the final return of the organization, as all assets have been transferred to The Alliance as of June 30, 2017.

Financial Statement Notes

Part X, Line 2:

The LESHRC is exempt from federal and state income taxes under section 501(c)(3) of the Interenal Revenue Code (IRC). Management evaluated the LEHSRC's tax position and concluded that the LESHRC had taken no uncertain tax positions in accordance with Accountant Standards Codification 740 "Uncertainty in Income Taxes" that require adjustment to the financial statements to comply with the provisions of this guidance. The LESHRC files income tax returns in the U.S. Federal jurisdiction, as well as in one state jurisdiction. With few exceptions, the LESHRC is not subject to income tax examinations by the U.S. federal, state or local tax authorities unless the LESHRC was engaged in activities that would generate unrelated business income.

Management evaluated the LEHSRC's tax position and concluded that the LESHRC had taken no uncertain tax positions in accordance with Accountant Standards Codification 740 "Uncertainty in Income Taxes" that require adjustment to the financial statements to comply with the provisions of this guidance. The LESHRC files income tax returns in the U.S. Federal jurisdiction, as well as in one state jurisdiction. With few exceptions, the LESHRC is not subject to income tax examinations by the U.S. federal, state or local tax authorities unless the LESHRC was engaged in activities that would generate unrelated business income.

(LESHRC) voted to dissolve the organization and transfer all assets and liabilities to Aids Service Center of Lower Manhattan Inc. - DBA - Alliance for Positive Change (The Alliance). During fiscal year end 6/30/16, Sharen Duke, executive director of The Alliance was named executive director of LESHRC. She along with the reaming 2 board members over saw the transition of programs and net assets from LESHRC to The Alliance. A plan of dissolution was submitted to the New York State Attorney General and approved on December 14, 2014. The final dissolution of the organization is pending receipt of the final 990 and New York State CHAR500 by the New York State Attorney General. The attached for 990 will be the final return of the organization, as all assets have been transferred to The Alliance as of June 30, 2017.

(LESHRC) has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, it was reviewed by appointed board members. It was then presented to those board members and management by the outside accounting firm. When ready to be filed with the Internal Revenue Service, it is electronically sent to the board members of the organization for any comments. Any comments are then grouped, summarized and provided to the outside accountants. Each issue is documented and addressed until the return is finalized and approved for filing.

In the engagement of consultants, we would, prior to any engagement, attempt to determine if any conflict of interest existed in any case. Consultant agreements provide for the non-disclosure of confidential information. The policy relative to conflict of interest is detailed in the bylaws for directors and officers, as well as in the employee handbook for staff. Currently the policy requests disclosures from the party who may have a conflict of interest. Thus, the policy is monitored on a case-by-case basis as the need arises. There is not, for example, an annual re-affirmation required of board of directors, officers or staff. A member of the board shall disclose the conduct or potential conflict as soon as he/she recognizes the conflict. If self-disclosure is not made, the board chair or any member of the board of directors can, prior to voting on a specific matter in which a potential conflict of interest exists, inquire whether any member of the board desires to abstain from voting. If no conflict of interest is disclosed, but the chair or any other member of the board is aware of one and the potential conflicted board member refuses to abstain from the deliberations or voting as requested, the chair shall immediately call for a vote of the directors to determine whether the challenged director is in a conflict position. If a majority of the directors present vote to require the abstention of the challenged director, that director shall not be premitted to vote.
