The cfo, senior director of finance, and board treasurer review the form 990 in detail. A draft of form 990 is then provided to the board of directors for review prior to filing.

Form 990, Part VI, Section B, Line 12C

All board members and employees must sign a conflict of interest policy when they join the foundation, and they are required to sign it annually thereafter. The foundation relies upon voluntary reporting of any conflicts of interest. Any potential conflicts of interest are reviewed by the ceo of the v foundation or his/her designee, in consultation with the chair of the board as necessary. Any conflicts are handled privately and individually and may include broader disclosure of the conflict to a board committee, specifically if it relates to a financial interest. This creates a firewall regarding issues on which a board member or employee may be conflicted.

Form 990, Part VI, Section B, Line 15

The process for determining the compensation for the positions of ceo and any key management position includes engaging external consultants, including an executive search firm, to provide comparable market data from nationally available independent salary survey data. Final determination of a key management position's salary may also take into account economic conditions data and internal equity considerations. The compensation amounts are presented to an independent compensation committee of the v foundation board of directors for approval.

The executive committee may act on behalf of the board in their absence. All such actions are ratified by the board when it next meets.
