“The executive committee is empowered to consider matters between full board meetings. Any major decisions are considered and summmarized for presentation to the entire board. Decisions related to specific matters requiring immediate actions may be acted on by the executive commitee, which decisions are then presented to the entire board at the next scheduled board meeting. For significant matters that require action prior to the next scheduled board meeting a call for a special meeting of the entire board is made.”

“The organization has not adopted a formal conflict of interest policy, but has processes it exercises to avoid conflicts of interest. Directors and officers are required to identify to the board president any conflict of interest. The organization as a matter of policy does not invite individuals onto its board that have potential conflicts of interest. Officers may not have other positions or affiliations that are or could cause conflicts of interest with the organization. Part vi, section b, lines 15a & 15b the board of directors reviews the executive director's salary annually. Members of the board of directors have experience with comparable organizations and consider salary rates for similar positions at other organizations. The salary review evaluates the information of comparable salaries and also the financial condition of the organization and the requirements of funding agencies, which are primarily governmental organizations responsible for social welfare programs.”

“EXPONENTS, INC. IS organized under the not-for-profit corporation law of the State of New York. Founded in 1990, Exponents, Inc. is a not-for-profit, minority-led organization dedicated to improving the quality of life of individuals affected by drug addiction, incarceration, and HIV/AIDS. Serving clients from the New York City area, programs assist individuals and their families through difficult transitions from addiction to recovery, from incarceration to civilian life, and from welfare to work. Exponents, Inc.'s support comes primarily from contractual services provided under grant contracts with governmental social service agencies and contributions from the public. PART 1, QUESTION 5 & PART V - QUESTION 2A Exponents, Inc. has an employment management agreement with a Professional Employment Organization ("PEO") which provides a comprehensive personnel management system encompassing a broad range of services, including benefits and payroll administration, health and worker's compensation insurance programs, personnel records management, employer liability management, etc. EMPLOYEES ARE INCLUDED IN A FORM W-3, TRANSMITTAL OF WAGE AND TAX STATEMENTS, ISSUED DIRECTLY BY THE PEO AND THEREFORE EXPONENTS DOES NOT ISSUE A FORM W-3 OR FORM W-2. PART III, LINE 4A Training and Counseling: Training and Counseling at Exponents encompasses a number of program initiatives the largest being the Exponents program including ARRIVE, A two-month program, to care for individuals and families affected by HIV, other chronic illnesses, and drug abuse. ARRIVE offers health education, relapse prevention, life-skills building, training, and support services that assist with recovery and build stability for those combating illness, addiction, poverty, and homelessness. The Second Chance program provides transitional counseling and mentoring to those being released from jail, both during incarceration and upon release by peers with lived experience. part iii - line 4d Outreach & Testing: Rapid HIV testing and HCV screening is conducted on our mobile testing unit as well as on-site at our main location. Rapid testing provides results in approximately 20 minutes and confirmatory tests verify results within two weeks. All individuals diagnosed as HIV+ are provided with linkage to medical care. Outreach and engagement services are deployed in the highest-risk areas of NYC teaching members of vulnerable communities strategies, including the distribution of male and female condoms and safer sex and risk reduction information, to halt the prevention of HIV and other sexually transmitted diseases.
