The foundation's programming is aligned through the course of fellow's academic and post-graduate career. “The governing board of directors has delegated the review and approval of the annual tax filing (form 990) to the audit committee of the board prior to presentation to the full board. The following are the specific processes the organization uses to review form 990. The document is prepared by an independent cpa firm. 1. The initial review of form 990 is performed by the foundation's accountant for accuracy. 2. The second review is performed by the president. 3. The third review is completed by the audit committee. 4. Once the draft is approved by the audit committee and presented to the governing board with their recommendations, the cpa is instructed to prepare a final copy of the final return, including all schedules. 5. The form 990 is presented to the governing board prior to filing.”
“The foundation has a conflict of interest policy, which outlines the process to communicate, evaluate, and address any known or perceived conflict of interest in the spirit of full disclosure on any matters that may appear in question. The execution of this policy is the responsibility of the nominating and board governance committee and executive committee. The individual who evaluates and communicates this information to the full governing board is the chair of the nominating and board governance committee. Board members and officers are expected to use good judgement, to adhere to high ethical standards and to conduct themselves in such a manner as to avoid any potential or actual conflict between the board member's or officer's personal interests and the interests of the robert a. Toigo foundation. A conflict of interest exists when the board member's or officer's loyalties or actions are divided between the foundation's interests and the board member's or officer's financial interest. Both the fact and the appearance of a conflict of interest should be avoided. A board member or officer who is unsure as to whether a certain transaction, activity or relationship constitutes a conflict of interest should discuss it with the chair of the board or the president for clarification. In keeping with toigo's best practices in compliance with sarbanes-oxley requirements, all governing board members are required to revisit the conflict of interest policy on an annual basis and sign an acknowledgement form that attests or represent that members will remain in full compliance with the policy.”
“The responsibility for determining the compensation or adjustments to ceo compensation is the work of the executive committee which starts with the board chair and founder. The committee's membership consists of the founder, board chair, and representatives who bring management, finance, human resources and non-profit background into the discussion around annual job performance against organizational goals and to assess work performed against similar roles and salary ranges based on scope of responsibilities. Should there be a requirement for compensation data or benefits analysis, independent compensation consultants are brought in to advise the executive committee in making their decisions. This committee rotates on a periodic basis as part of the normal board service rotation, which allows for continued objectivity and relevant perspective to this important governance duty. There is also active engagement with the ceo on performance of the non-profit and strategies, more frequent than annual reviews. Other key employees the board of directors has delegated the responsibility for the evaluation and determination of salary for these positions to the president/ceo. The president will, however, review staff performance with the designated member of the executive committee and will discuss plans for any adjustments, if warranted, in advance. Salary adjustments and recognition awards are not guaranteed on an annual basis and, therefore, performance of the nonprofit and the individual's performance are assessed to determine if any merit adjustment is warranted. Salaries for these positions are evaluated against marketplace information, feedback from internal and external clients and revenue generated from their area of responsibility, in addition to the internal compensation structure of the organization.”
“Annual financial information is posted for public view on the foundation's website, along with the annual report and other select compliance policies. The foundation upholds the highest degree of accountability and transparency and will provide any additional public information, upon request.”
“The Foundation is registered as a nonprofit corporation and is exempt from federal income taxes, except for unrelated business income, under Section 501(c)(3) of the United States Internal Revenue Code ("IRC"). In addition, the Foundation is exempt from California state taxes under section 23701(d) of the California Revenue and Taxation Code. There was no unrelated business income in 2024 and 2023. The Foundation has been determined by the Internal Revenue Service ("IRS") not to be a private foundation within the meaning of Section 509(a) of the IRC and is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. The Foundation has evaluated its current tax positions and has concluded that as of December 31, 2024 and 2023, the Foundation does not have any significant uncertain tax positions for which a reserve would be necessary.”

| IRS990/Desc | 0 | As part of its 35th Anniversary milestone, the Toigo Foundation proudly welcomed a new cohort of young professionals into its Milestone Class, selected from an applicant pool of 253 finalists. These future leaders represent a broad spectrum of finance-focused graduate students committed to careers in investment, advisory, and asset management. In alignment with our strategic goals and continued innovation in candidate engagement, the Foundation invested $[$11,731] in the development and implementation of a new applicant platform and customer relationship management (CRM) system. These tools were designed to capture applicant and student data, foster a sense of community, and provide employers with direct access to talent through job postings and curated career-focused events. The system also features integrated video content, targeted candidate assessments-particularly around coachability-and robust applicant reporting dashboards. The Foundation launched the "Catapult" program as the first-tier industry education event, hosted virtually over 2.5 days to accommodate the financial and time constraints of today's graduate student population. Delivered via a high-functioning virtual event platform, the program included general sessions, skill-building breakout groups, chat forums, and structured networking spaces-creating a rich, accessible learning experience. From this broader group, [60] students were selected as our final Toigo Legacy Fellows and invited to attend an in-person onboarding event held in New York. This immersive experience provided deeper program orientation, exposure to senior industry executives, and a realistic preview of graduate school expectations in the context of their Fellow responsibilities. The Fellows were also recognized during Toigo's annual industry dinner, further elevating their visibility and affirming their accomplishments. To support students' career preparedness, the Foundation engaged a team of subject matter experts who delivered individual and group sessions focused on self-assessment, navigating a competitive job market, and managing priorities during graduate studies. In addition, our signature APEx (Advancing Professional Experience) leadership development events continued to serve as critical in-person programming, welcoming 150 students for two days of master classes centered on executive presence, communication, and strategic thinking. Participants also took part in coaching engagements and technical workshops tailored to current market demands. Toigo's Learning Intensive in Alternatives was expanded in 2024. The program now includes three sector - focused tracks that offer deep dives into specific investment strategies. Students participated in team-based investment presentations, national case competitions, and coursework aligned with preparation for industry-recognized certifications. The Foundation's financial investment in curriculum design, contractor-led instruction, and asset-class specialization enabled the creation of a scalable, high-value program. Finally, through the Foundation's proprietary Talent Management Portal, members of the Class of 2025 and Class of 2026 gained immediate access to internship and full-time job opportunities from leading financial services firms. This portal serves as an essential bridge between education and employment, underscoring our commitment to creating pathways to leadership in the investment profession. |
