Senior management and the board of directors review the form 990 prior to filing with the irs.

As part of sec compliance, each employee is required to submit annually the following: annual personal holdings report, disciplinary questionnaire outside investment advisory activity disclosure, and compliance manual and code of ethics acknowledgements. On a quarterly basis, each covered person is required to submit a personal transactions report.

Form 990, Part VI, Section B, Line 15

Compensations levels for senior management are reviewed annually by the ceo. Adjustments to salary levels and bonuses (if any) are determined by the cfo, in conjunction with the company chairman (officer of the company) based on market rate comparisons, personal achievements, and budgetary constraints. The cfo then submits his recommendations to the independent chairman of the board. Upon the chairman's approval, the recommendations are then circulated to the other independent board members for their approval. Compensation for all company officers is determined via the same process as described above. In addition, a compensation committee was established in december 2014 to approve the total compensation of the officers of seaf, as defined in the by-laws of the corporation.

PART X, LINE 2:

Under accounting standards codification (asc) 740-10, accounting for uncertainty in income taxes, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. Seaf's major tax jurisdictions are u.s. Federal and new york. The earliest tax year that remains subject to examination by these jurisdictions is 2018. Seaf's policy is to record interest and penalties, if any, in income tax expense. Management believes it has no material uncertain tax positions nor any penalties and interest to be accrued for the years ended december 31, 2021 and 2010, and, accordingly, have not established any for unrecognized tax benefits.
