Governance Explanations

Form 990, Part VI, Section B, Line 11

The 990 is presented to the audit committee for review and approval, then to the complete board, prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers directors, principal officers, and members of committees with governing board designated powers. If there is potential for a conflict of interest, the board is responsible for making a determination. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or executive committee meeting while a determination of a conflict of interest is discussed and voted upon. The remaining board or executive committee members shall decide if a conflict of interest exists. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclosure an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15A

The board reviews all salaries in conjunction with the annual budget authorization process, including the salary of the executive director. The board includes an expert on nonprofit salaries due to his professional responsibilities. Nyccah currently does not have other officers or key employees as defined by the instructions on this form.

Form 990, Part VI, Section C, Line 18

Nyccah makes the 990 available on its own website and on guidestar.org. Nyccah's form 1023 is available upon request.

Form 990, Part VI, Section C, Line 19

Governing documents and the conflict of interest policy are available upon request. Financial statements are available on nyccah's website and upon request.

Form 990, Part VIII, Line 8C and Form 990 Schedule G, Part II, Line 11

The proper completion of form 990 requires organizations to report the activity from fundraising events that substantially further the organization's exempt purpose in part viii, line 8c and form 990, schedule g, part ii, line 11. Fundraising events often generate both contributions and income, such as when an individual pays more than the retail value for goods or services furnished. During the year ended 2014, nyccah conducted a successful spring benefit that generated contribution revenue amounting to $35,866. This contribution revenue is required to be reported on part viii, line 1c of the form 990 as contributions from fundraising events per the irs instructions. This resulted in a loss from fundraising events in the amount of $1,946 but an overall net gain of $33,920.

Supplemental Narrative

Additional Explanations

Part XI, Line 2C

Nyccah maintains an audit committee responsible for oversight of the independent audit and review of the audited financial statements. This process has not changed from prior years.

Form 990, Part I, Line 6

The volunteers noted here serve both at nyccah headquarters and are directly placed and/or supervised by nyccah at food pantries, soup kitchens, and other anti-hunger sites, nationwide, affiliated with nyccah.

Form 990, Schedule C, Part II-A

The new york city coalition against hunger represents and is the voice for the more than 1,100 nonprofit soup kitchens and food pantries in new york city and the nearly 1.4 million low-income new yorkers who live in households that can't afford enough food. Nyccah engages in limited lobbying as constituted under the law. Nyccah's limited lobbying activities promote food security and economic opportunity to create more living wage jobs and ensure that everyone and every neighborhood has access to affordable, nutritious food.

Financial Statement Notes

PART X, LINE 2:

Nyccah has adopted accounting standards codification ("asc") 740 "income taxes." asc 740 requires that a tax position be recognized or derecognized based on a "more likely than not" threshold. This applies to positions taken or expected to be taken in a tax return. The adoption of this guidance did not have an impact on nyccah's financial statements, as management believes that there are no uncertain tax positions within its financial statements. Nyccah has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; determine its filing and tax obligations in jurisdictions for which it has nexus; and to review other matters that may be considered tax positions. Nyccah's forms 990, return of organization exempt for income tax, for the years ended december 31, 2011, 2012, and 2013 are subject to examination by the irs, generally for three years after they were filed.
