Governance Explanations

Form 990, Part VI, Section A, Line 2

Form 990, part vi, section a, line 2: glen and justin kort have a family relationship. Two trustees have a business relationship with each other. This business relationship has no relation to the academy.

Form 990, Part VI, Section B, Line 11

Form 990, part vi, section b, line 11: the finance committee is presented with the finanical statements and the form 990. Upon review of these documents with the accountants, they are then presented to the board electonically for review and discussions. Once the documents are approved by the board they are then submitted to the taxing authorities.

Form 990, Part VI, Section B, Line 12C

Trustees are expected to identify any potential conflicts of interest at the annual board retreat, held each fall, at which time they also execute the conflict of interest disclosure. Potential conflicts that may arise subsequent to the annual board retreat are identified by involved trustees at interim board meetings. Potential conflicts may also be identified by the board president, who is also a member of the academys administration. All conflicts of interest (or potential conflicts) are reviewed at the annual board retreat or at regular interim board meetings. Reviews are conducted by the entire body of trustees and appropriate actions are taken. Depending upon the nature and duration of the conflict of interest, the board may recommend a trustee resign his/her position, eliminate the circumstances of the conflict, recuse himself/herself from discussions and decisions concerning the matter under conflict; or, if the conflict is considered immaterial or beneficial to the academy the board will adopt a resolution acknowledging the potential conflict and allowing the involved trustee(s) to continue their service on the board. All board discussions regarding conflicts of interest are recorded in the appropriate board meeting minutes.

Form 990, Part VI, Section C, Line 19

The academy's form 990 is available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar types of websites. In addition, the financial statements, governing documents and conflict of interest policy are also available upon written request at 202 west 97th street, new york, ny 10025.

Additional Explanations

Form 990, Part I, Line 1 and Part III, Line 1

De la salle is both a community and a school which believes that its vision and its mission are so closely intertwined as to be indistinguishable from each other. Rooted in the la sallian tradition, we believe that, to be truly effective, education must be directed toward the development of the whole child: body, heart, mind and spirit. Our vision/mission calls us to action: 1) to provide academically talented, economically disadvantaged children of diverse backgrounds equal access to a quality education through a needs-blind admissions process. 2) to provide each student with a learning environment where the issues of the spirit are respected equally with those of the intellect, and where god's presence is recalled and revered. 4) to instill in each youngster the pride in being who they are, an acceptance of diversity, and a humble gratitude for the gifts god has given to them. 5) to train the youngsters to recognize and make a personal commitment to become involved in the issues of social justice and community. 6) to expose the students to teachers who relish the intellectual life and delight in sharing with the students the joys of the world of ideas. 7) to be a place where the students can feel loved and can learn to love appropriately. 8) to be a force in the movement to refound and revitalize education for the poor. 9) to be a counter-sign to parents who are despairing for the education of their children. 10) to establish a positive peer culture that demonstrates both the responsibilities and meaningfulness of living as a true community.

Form 990, Part XII, Line 2C

The purpose of the audit committee is to assist the board of trustees in its oversight responsibilities respecting (1) the audit of the academy's books and records and (2) the academy's system of internal control.

Financial Statement Notes

PART V, LINE 4:

To fund future student scholarships.

PART X, LINE 2:

The academy recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the academy had no uncertain tax positions that would require financial statement recognition or disclosure. The academy is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to 2011.

PART XI, LINE 4B - OTHER ADJUSTMENTS:

Financial aid netted against revenue 2,399,541.

PART XII, LINE 4B - OTHER ADJUSTMENTS:
