Governance Explanations

Form 990, Part VI, Section B, Line 11B

The finance committee is presented with the financial statements and the form 990. Upon review of these documents with the accountants, they are then presented to the board electronically for review and discussion. Once the documents are approved by the board they are then submitted to the taxing authorities.

Form 990, Part VI, Section B, Line 12C

Trustees, officers, and employees are expected to identify any potential conflict of interest at the annual board retreat, held each fall, at which time they also execute the conflict of interest disclosure. Potential conflicts that may arise subsequent to the annual board retreat are identified by involved trustees, officers, and employees at interim board meetings. Potential conflicts may also be identified by the board president, who is also a member of the academy's administration. All conflicts of interest (or potential conflicts) are reviewed at the annual board retreat or at regular interim board meetings. Reviews are conducted by the entire body of trustees, officers, and employees and appropriate actions are taken. Depending upon the nature and duration of the conflict of interest, the board may recommend a trustee, officer, or employee resign his/her position, eliminate the circumstances of the conflict, recuse himself/herself from discussions and decisions concerning the matter under conflict; or, if the conflict is considered immaterial or beneficial to the academy the board will adopt a resolution acknowledging the potential conflict and allowing the involved trustee(s), officer(s), and employee(s) to continue their service on the board. All board discussions regarding conflicts of interest are recorded in the appropriate board meeting minutes.

Compensation paid to the president: please note that the president is a religious member of christian brothers (the order) has taken a vow of poverty and is provided with zero (0) compensation from the academy. All compensation that would have been paid to the president on behalf of the services provided to de la salle academy is instead paid to his religious order (christian brothers) rather than the individual. For 2018, de la salle academy paid the order an amount of $179,944 for the services the president (brother brian carty) provided to the academy.

Part I, Line 1

De la salle academy is a private, independent, non-sectarian middle school providing a quality education in a multi-ethnic setting to children from economically less advantaged urban families. The school accepts any academically qualified youngster, without regard to the family's financial situation. The faculty of de la salle provides a challenging academic curriculum to our youngsters, while instilling values of community, personal standards, and civic responsibility.

The mission of de la salle academy is... * to provide academically talented, economically disadvantaged children of diverse backgrounds equal access to a quality education through a needs-blind admissions process. * to provide each student with a learning environment where the issues of the spirit are respected equally with those of the intellect, and where god's presence is recalled and revered. * to train a cadre of youngsters who will become the leaders of tomorrow. * to instill in each youngster the pride in being who they are, an acceptance of diversity, and a humble gratitude for the gifts god has given them. * to train the youngsters to recognize and make a personal commitment to become involved in the issues of social justice and community. * to expose the students to teachers who relish the intellectual life and delight in sharing with the students the joys of the world of ideas. * to be a place where the students can be loved and learn to love appropriately. * to be a force in the movement to refound and revitalize education for the poor. * to be a counter sign to parents who are despairing for the education of their children. * to emphasize innovation in education for children with special talents.

The purpose of the audit committee is to assist the board of trustees in its oversight responsibilities respecting (1) the audit of the academy's books and records and (2) the academy's system of internal control. This process has not changed from last year.

The academy recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that the academy had no uncertain tax positions that would require financial statement recognition or disclosure. The academy is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to 2016.
