“On August 23, 2016, Marketing Research Association, Inc. (MRA) and The Council of American Survey Research Organizations, Inc. (CASRO) entered into a Plan of Merger. The merger was approved by MRA's Board of Directors on August 26, 2016, and by MRA members at the association's annual meeting on September 26, 2016, in San Francisco. The merger is to become effective on January 1, 2017. Under the terms of the Agreement of Merger dated November 21, 2016, CASRO will merge into MRA. As of the Merger Effective Date of January 1, 2017, the seperate corporate existence of CASRO will cease to exist and MRA will be the sole surviving legal entity, which will be immediately renamed Insights Association, Inc. and will continue its corporate existence governed by the New York Not-For-Profit Corporation Law.”

“The Association has five categories of members (Company, Individual, Government, Educator, Honorary and Student member). All members have voting rights except Student members.”

“The members elect the Board of Directors.”

“Members approve the Articles of Incorporation and may amend the Bylaws under certain circumstances.”

“The Form 990 is prepared by independent accountant. Review of the Form 990 is a joint effort between the Executive Committee, the CEO and the staff to ensure accuracy, completeness and overall compliance. Any issues regarding accuracy, or completeness are corrected prior to filing of the Form 990.”

“Any conflicts of interest are identified and monitored throughout the year and any deviations or concerns are brought to the Board of Directors's attention for further review and resolution.”

“Compensation paid to the CEO is negotiated between the compensation committee of the Board of Directors and the CEO benchmarking against salary survey data. Such issues as base compensation and bonuses, if any, are determined at the time of the negotiations and included in the terms of the contract. Performance is reviewed on an annual basis by the Executive Committee and brought to the full Board for approval, to determine compliance and pay bonuses based upon that performance.”

“Governing documents and the Association's conflict of interest policy are provided to interested parties upon request. The Organization's Articles and Bylaws are made available on the Organization's website. Financial statements are available upon request, provided the request is in writing and a reasonable amount of time allowed to gather the information and to deliver it to the requester. Form 990 is made available to all interested parties by request and by accessing the Guidestar Website.”

“The Association's Executive Committee assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. The process is consistent with previous years.”
