Governance Explanations

Form 990, Part VI, Section B, Line 11

When the form 990 has been prepared, reviewed by management and is ready to be filed with the internal revenue service, an electronic or paper copy is sent to all members of the board for review and comments. Any comments and questions concerning the 990 are discussed with management and appropriate actions are taken when necessary before filing with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy that applies to the board of directors and all members of management. The board mandates that all members of management and board members sign a conflict of interest policy and disclose any potential or actual conflicts that may exist annually. If a conflict of interest exists, management and/or board members will investigate the potential conflict and the potentially conflicted board member will not be allowed to vote or be part of any decisions about such matters.

Form 990, Part VI, Section B, Line 15A

Executive director compensation was last determined in october 2015 by a subcommittee of 5 members of the leap board of directors following their search for a new executive director. The decision was made with reference to comparable organizations in terms of organizational size and type of services and the committee consulted with an executive search professional with over 20 years of experience in the field. The hiring and compensation decision of the board was documented in meeting minutes and a board resolution was documented.

Form 990, Part VI, Section C, Line 19

Leap makes its form 990 available for public inspection as required under setion 6104 of the internal revenue code. The form 990 is posted on guidestar.com and other similar types of websites.
