Governance Explanations

Form 990, Part VI, Section A, Line 1

Paf's executive committee exercises power of the board in relation to matters that arise between regularly scheduled board meetings or when it is not practical or feasible for the board to meet. The committee is delegated the authority to act as the full board when exercising the power and authority under its charter, subject to certain limitations. The committee consists of the president and two or more additional members of the board, as selected by the board on an annual basis.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the organization's independent accountants. A draft is reviewed by the finance manager, the director, the board president, the board treasurer, and the audit and finance committee. The final form 990 is then provided to the board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

The audit and finance committee evaluates disclosures made in accordance with paf's conflict of interest policy, to determine whether they involve merely the appearance of a conflict of interest or whether an actual or potential material conflict of interest exists. After disclosure of the potentially conflicting interest and all material facts, and after answering any questions, the interested director shall recuse himself or herself from discussion, or otherwise exerting any influence on, and voting relating to the matter. However, as a member of the board or committee, the interested director may be counted in determining the establishment of the quorum at such a meeting.

Form 990, Part VI, Section B, Line 15

The compensation committee consists of three or more members of the board, each of whom has been empowered to inquire into any matter it considers appropriate to carry out its responsibilities, with access to all books, records, facilities and personnel of paf. The committee meets at least once per year and paf shall provide adequate resources to support the committee's activities, including compensation of paf's counsel, consultants and other advisors retained by the committee. The committee reviews and authorizes any employment, compensation, benefit or severance agreement for the president and the director and chief curator, or for any other executive officer; reviews comparability data in relation to the compensation of paf's executive officers, such data being based on industry surveys, documented compensation of persons holding similar positions in similar organizations, and/or outside compensation studies by independent experts.

In accordance with the terms of paf's donor-restricted endowment, paf follows a policy of considering an appropriation each year of 5 percent of the average fair value of endowment funds of the prior two years through the year-end preceding the fiscal year in which the distribution is planned. Over the long term, paf expects the current spending policy to allow its endowment to grow annually, to maintain purchasing power of the endowment assets held in perpetuity as well as to provide additional real growth through new gifts and investment return.

Part XII, Line 2D

During the year ended june 30, 2017, the organization settled a dispute regarding the restoration of an artwork fabricated for one of its exhibitions. The organization received a payment from the vendor involved in the fabrication work, and paid the artist for costs to restore the artwork. The payments to the artist, net of amounts received from the vendor, totaled $72,270.

PUBLIC ART FUND ENGAGES ARTISTS OF DIFFERENT BACKGROUNDS AND POINTS OF VIEW WHOSE WORK REFLECTS THE DIVERSITY OF NEW YORK CITY. THESE PROJECTS BRING IMPORTANT WORKS OF ART OUTSIDE OF THE TRADITIONAL CONFINES OF MUSEUMS AND GALLERIES, DIRECTLY TO PLACES WHERE NEW YORKERS LIVE AND WORK-TO PARKS, PLAZAS, AND OTHER UNEXPECTED SITES THROUGHOUT NEW YORK'S VARIED NEIGHBORHOODS. EACH YEAR, PUBLIC ART FUND WORKS WITH ARTISTS TO CREATE SITE-RESPONSIVE WORKS FOR LOCATIONS THROUGHOUT NEW YORK CITY, AND TO DEBUT EXISTING SCULPTURES AND INSTALLATIONS IN THE UNITED STATES. COMMISSIONING NEW WORKS INVOLVES DEVELOPING LONG-TERM RELATIONSHIPS BETWEEN PUBLIC ART FUND AND INDIVIDUAL ARTISTS; IT CAN TAKE FROM A FEW MONTHS TO SEVERAL YEARS TO DEVELOP A PROJECT AND ADDRESS THE COMPLEX TECHNICAL AND LOGISTICAL CONSIDERATIONS INVOLVED IN PRESENTING NEW WORKS IN THE PUBLIC REALM.PUBLIC ART FUND MAINTAINS A COLLABORATIVE ARTIST-CENTRIC APPROACH TO DEVELOPING PROJECTS, WHEREIN INDIVIDUAL ARTISTS RESPOND TO A SITE IN NEW YORK CITY. AS A RESULT, PUBLIC ART FUND'S INSTALLATIONS ARE CLOSELY INTEGRATED INTO THEIR LOCATIONS AND OFFER OPPORTUNITIES TO SEE THESE SITES IN NEW WAYS FOR NEW YORKERS AND VISITORS TO THE CITY. TO MEET THE ORGANIZATION'S GOAL OF REACHING THE BROADEST POSSIBLE AUDIENCE, PROJECTS ARE LOCATED IN A RANGE OF HIGHLY TRAFFICKED LOCATIONS.OVER THE PAST YEAR, PUBLIC ART FUND WORKED WITH 28 ARTISTS TO PRESENT 6 NEW EXHIBITIONS AND PROJECTS THROUGHOUT NEW YORK CITY, INCLUDING: SPENCER FINCH'S LOST MAN CREEK AT METROTECH COMMONS IN BROOKLYN; DAVID SHRIGLEY'S MEMORIAL AND LIZ GLYNN'S OPEN HOUSE, BOTH AT DORIS C. FREEDMAN PLAZA IN CENTRAL PARK; ANISH KAPOOR'S DESCENSION AT BROOKLYN BRIDGE PARK; KATJA NOVITSKOVA'S EARTH POTENTIAL AT CITY HALL PARK; AND COMMERCIAL BREAK, A GROUP SHOW OF WORKS BY 23 ARTISTS ON MULTIPLE DIGITAL PLATFORMS IN ALL FIVE BOROUGHS. CONTINUING PROJECTS FROM FY16 INCLUDED: MARTIN CREED'S UNDERSTANDING AT BROOKLYN BRIDGE PARK; ISA GENZKEN'S TWO ORCHIDS AT DORIS C. FREEDMAN PLAZA IN CENTRAL PARK; ELMGREEN & DRAGSET'S VAN GOGH'S EAR AT ROCKEFELLER CENTER; AND THE LANGUAGE OF THINGS, A GROUP EXHIBITION AT CITY HALL PARK.
