Governance Explanations

Form 990, Part VI, Section A, Line 2

Patricia hollister doyle and elizabeth hudak are related through marriage.

Form 990, Part VI, Section B, Line 11

Search for change, inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. When the form 990 has been prepared, it is reviewed by management and the audit and finance committee of the board of directors. Once reviewed and is ready to be filed with the internal revenue service, it is submitted electronically to members of the organization's governing body for any comments prior to the submission. The governing body is provided with one week to review the prepared form 990 and provide their commments. Any comments are then grouped, summarized and provided to the compliance officer or committee in charge of filing the return for their review. Each issue is documented and addressed until the review is finalized and 990 approved for filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is given to each individual that serves on the board of directors as well the executive director and the management team of the organization. To enforce compliance, the policy is discussed annually at a board of directors meeting, and the directors are required to sign a disclosure statement explaining any potential conflicts. Disclosure includes potential conflicts involving personal, family or business relationships. A copy of the signed certification agreeing to be bound by the organization's conflict of interest policy is returned and kept on file by the secretary of the board of directors. If a person becomes aware that they may have a conflict, they must disclose it immediately. If it is determined that the person has a conflict, then they must refrain from participating in any discussions or transactions involving such conflict, or in a related vote, or to be present during such discussion or vote.

Form 990, Part VI, Section B, Line 15

A review takes place annually. The executive director's compensation is determined by the board of director's in an executive meeting. Prior to the meeting, the finance director compares the executive director's salary to salaries paid to executive director's at similar-sized organizations to ensure that the compensation is in line. In addition, the human resources subcommittee chairman has reviewed comparable healthcare salaries based on studies from an international healthcare management recruiting company. Finally, the board also sets goals for the executive director must meet as part of her annual review. The results of the board's decision on her compensation are documented in the minutes. Key employee and other officers salaries are determined using marketplace values, the individual's education, experience, and qualifications. Compensation ranges are established for the overall compensation structure, as well as compensation for similar positions in our region. The results of the board's decision are documented in the minutes.

Form 990, Part VI, Section C, Line 19

Search for change, inc. Makes its form 990 available for public inspection as required under 6104 of the internal revenue code by having it available on guidestar.org.
