“The organization has dues paying members. There is only one class of member. All members are entitled to vote at the annual meeting of members and in other elections as stipulated in the bylaws. All members are entitled to equal benefits (discounts on products and services, access to committees and working groups, etc.). Member dues are assessed using a sliding scale dependent on gross revenue of member companies. There are special dues rates for nonprofit organizations. Member dues are posted on the organization's website.”

“The form 990 is reviewed by the executive director and chairperson of the board. The final copy of the 990 is distributed to the full board before filing with the irs.”

“All board directors and officers are required to disclose any conflicts of interest annually. At the start of each fiscal year, conflict of interest forms are distributed to the board. The executive director is charged with collecting forms, and with monitoring compliance throughout the year. If a conflict is found, the individual with the conflict is required to recuse himself/herself from the decision making process and voting with respect to matters relating to such conflict.”

“The salary of the executive director was determined by the executive committee using industry comparables and under advice from a search committee. It was codified in a three year contract (expiring in june 2018), and approved by the board of directors. The executive director is contractually eligible for a merit-based bonus each year, as determined by a performance review conducted by the executive committee.
