Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization's active members approve the board of directors. Additionally they are entitled to vote upon significant issues and approve the by-laws. The by-laws of the organization provide that in the event of dissolution or discontinuance of the association, any funds remaining after payment of expenses shall be returned to the active members at the time of such dissolution or discontinuance, in proportion to which dues and assessments have been paid by the members entitled to such refund during the preceding twelve month period. Unexpended special assessments are to be returned to contributors in proportion to their contribution.

Members that meet the qualifying requirements stipulated in the articles of the association and its by-laws are eligible to become members. All active members are entitled to one vote. The active members approve the board of director and officers. They also approve the organziation's by-laws.

The organization requires the board of directors, officers and the executive director to complete the conflict of interest form annually. Any issues that may arise are discussed at the board meeting.

Compensation for the president is based on several factors that the board of directors deem to be appropriate. Factors such as performance, attainment of goals established by the board, comparision with compensation paid by similar trade organizations and cost of living adjustments are taken into consideration. The executive board reviews and approves the compensation annually. Any changes in compensation become effective upon board approval.
