“The organization's active members approve the board of directors. Additionally they are entitled to vote upon significant issues and approve the by-laws. The by-laws of the organization provide that in the event of dissolution or discontinuance of the association, any funds remaining after payment of expenses shall be returned to the active members at the time of such dissolution or discontinuance, in proportion to which dues and assessments have been paid by the members entitled to such refund during the preceding twelve month period. Unexpended special assessments are to be returned to contributors in proportion to their contribution.”
