“DOMESTIC PROGRAMS: World Educations U.S. Division advances the economic mobility of vulnerable people and communities through education. the u.s. division improves the quality, efficiency, and availability of education for adults with low skills in educational settings, workplaces, libraries, and more. it is one of the leading providers of progessional development and technical assistance for adult education, and operates four centers of expertise and the MA Adult Literacy Hotline. It develops, documents, and disseminates innovations and promising practices in adult education, and responds to pressing needs, such as the need for foundational digital skills. Part VI - Governance and Management Disclosures Part VI, Line 2 Josh Lamstein, Board Member, and Joel Lamstein, WEI President and non-voting Board Member, have a family relationship. PART VI, LINE 3 The President and COO of WEI are employees of John Snow, Inc. (JSI) an S-Corporation controlled by the President. The President and COO are provided to WEI to provide management services for the organization. WEI is charged by JSI, Inc. for the service through an allocation methodology. The organization made a payment of $2,937,213 relative to services and materials provided by JSI. This payment includes allocated compensation for management services of: Joel Lamstein, President - $74,495 Alexander Baker, Chief Operating Officer - $47,012 PART VI, LINE 6 The sole member of the organization is JSI Research and Training Institute, Inc. PART VI, LINE 7 AND 7B As the sole member JSI Research and Training Institute, Inc. has the right and powers to appoint and remove trustees; to propose and/or approve all amendments to the bylaws and certificate of incorporation; to propose and /or approve all sales or other disposition of all of the property of the organization; to propose and/or approve dissolution, consolidation or merger of the organization; and all other such powers and rights that are vested in the sole member. Part VI, Section B, Line 11B THE FORM 990 WAS PREPARED BY AN ACCOUNTING FIRM IN CONJUNCTION WITH THE ORGANIZATION'S FINANCIAL DEPARTMENT. For officers and key employees other than the President, an annual review is performed either by the President or Human Resources. For the President, the compensation is reviewed using comparability data by the Board of Directors and there is substantiation of the deliberation and decision.
