Cbc's pursuit of its mission is embodied in four interrelated roles: watchdog, research organization, monitor of implementation and disseminator of information. Cbc is funded primarily by contributions, special events and investment income.

Governance Explanations

Form 990, Part VI, Section A, Line 6

Any individual of at least twenty-five (25) years of age, residing or having business in new york state, shall be eligible to apply for membership, subject to approval by the nominating committee and the conditions set forth in the by-laws relating to membership. No elected or appointed official currently serving on a full time, paid basis for the city or state of new york or other local jurisdiction of new york state is eligible for membership.

Form 990, Part VI, Section A, Line 7A

Except as otherwise required by law or the by-laws, members of the executive committee shall be elected by a plurality of the votes cast at the annual meeting of trustees by the trustees entitled to vote. Whenever any other action is to be taken by vote of the trustees, it shall be authorized by a majority of the votes cast as a meeting of trustees by the trustees entitled to vote. Newly created executive committee positions may be filled by the executive committee, by a vote of a majority of the executive committee members then in office even if no quorum is present. Any executive committee member elected to fill a vacancy resulting from resignation, death, or removal of an executive committee member will be elected to hold office for the unexpired term of his or her predecessor.

Trustees are entitled to (1) attend and participate in events sponsored by the corporation and receive materials published by the corporation; (2) nominate candidates for membership as trustees; (3) elect trustees, officers, and members of the executive committee; (4) approve the adoption of by-laws; (5) serve as officers of the corporation and members of the executive committee; (6) serve on research committees at will, and attend research committee meetings whether or not they are members of such committees; and (7) be eligible for appointment to other committees as provided for in these by-laws. Trustees do not have the power to conduct business in the name of, or on behalf of the corporation, unless they have been elected as an officer of the corporation.

The chair of the audit committee of citizens budget commission, inc. Reviews the 990 prior to its filing. Once the form has been reviewed and approved by the chair of the audit committee, it is signed and filed by the president.

Voting members of the executive committee are required to complete a conflict-of-interest disclosure statement annually. This requirement is annually monitored and enforced by the director of operations.

The executive committee of the board of trustees meets once per year to review the current compensation levels and determine salary adjustments of key employees. These adjustments are made on merit and on an assessment of the annual surveys of new york nonprofit executives' compensation by the nonprofit coordinating committee and professionals for nonprofits.
