Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership in tia is open to all businesses engaged in the replacement tire industry including those engaged in manufacturing, retreading, tire and rubber recycling, wholesaling, automotive service and retail and commercial sales of tires, including suppliers to such businesses. Membership consists of two separate membership classes, voting members and e-satellite members. E-satellite members are provided access to the tia's member-only access website, but shall not be eligible to vote.

Form 990, Part VI, Section A, Line 7A

Candidates for directorships are elected directly by members of tia in good standing by ballot with the exception of the state executive. The results of the election are announced at the annual membership meeting of tia and the elected candidates are installed during this time.

Form 990, Part VI, Section B, Line 11B

Tia hires an independent accounting firm to prepare the federal form 990. Upon submission, the draft form 990 is reviewed by the executive vice president, treasurer, and outside accounting firm and staff through conference calls.

Form 990, Part VI, Section B, Line 12C

The executive vice president actively monitors potential conflicts of interest between tia's staff and board members. Tia also assures enforcement of the conflict of interest policy by including the disclosed conflicts in the board books annually for board review. If a conflict of interest does exist for a board member, he/she is prohibited from participating in the governing body's deliberations and decisions in that particular transaction.

Form 990, Part VI, Section C, Line 19

Tia does not publicize this information. Tia makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Form 990, Part VIII, Line 10A

Included in total gross receipts from inventory sales are class and recertification fees. When a student signs up to attend one of tia's training classes, the fee relates to both the training manuals and the recertification fees.
